Demand that GST/Semnet (or the company) indemnify her legal fees under the Companies Act s 172 or her contract / D&O policy.

Zheng and Choo = the sellers under the SPA (Sale and Purchase Agreement).

Their main exposure is contractual (breach of SPA warranties, representations, etc.). The claims against them are largely commercial in nature.

Daphne Chong = the former manager / employee of Semnet.

She is being sued for breaches of fiduciary duties (as a director or key officer) + contractual duties.

Fiduciary breach claims are much more personal and serious in Singapore law. They can lead to:Personal liability (not just company liability)

Disgorgement of profits

Potential director disqualification

Higher reputational damage

Easy bfd

So why are Zheng and Zhu just using run of the mills and Daphane is paying 3 grand an hour for one of the best legal firms in Sing, legal rep and maybe paid 50to 100k for the legal opinion and representation. fees from these lawyers are insane!!!

We will find out next week where its all going, ie high court or arb to the defendants counter claims and what filings have been made etc. If zheng and zhu counter claim now they waiver the arbitration do you understand that ? if they file a defence in high court again they waiver the arbitration

They dont need to file counter claim yet I think they leaving that to Daphane their first move should be to file for security costs and then when GST have to front that up file the stay.

BFD I rsan a bet with AHS that it would take a minimum of 1 year now its gone to high court and this mess I see 2027 2028 as the end. But my time was always 1-3 years from ARB date in july last year.

Its not about who I want to win its about who I can see winning.......GST made a major procedural mistake escalating this to High court they are desperate for a settlement, if they found smoking gun evidence in ARB process they should have upped the claim in Arbitration and paid the fees they were over half way through it, so they didnt like how arb was going ? and tried to change the stadium, instead this is now a major mess of their own making, tried to bully for settlement and use Daphane as patsy but she's coming with big legal guns so watch this space with her !
