And even if it does complete, everyone's CRML scrip lock in expires at the same time. There will be a mad dash for the exit which will likely crash the price.

I think the board's view of this is wildly optimistic.

Most of the mining and helium companies on London, both main market and AIM, are naked promotes.

Good companies ALWAYS provide the financials of material contracts they announce, so the market can value them accordingly. If they cannot provide the financials they do not announce it, letting the half year / full year results do the talking. They respect their shareholders and the rules assuring an orderly market.

Bad companies NEVER announce the financials of any contracts they sign so as to leave the single share telegram group mugs to fill in the gaps for them, come up with a gazillion pound valuation, and buy the shares on the spoof.

According to the latest information we have (note 20 to the accounts published on 10 December), that deal has not completed and is still conditional on things largely out of TM1's control.

If it had completed you would have been told because it is financially material so requiring RNS confirmation.

News announcements with no figures are designed to spoof buyers, that is all. They are a red flag if anything. Rogues, chancers and scoundrels have used that as a technique for time immemorial.

If the financials attached to this morning's announcement were material you would have been told them. Ergo they are not material. This announcement is immaterial. "Capiche?"

I see some more mugs were recruited this morning, new names to this board who haven't done any homework on the accounts, the CRML deal and its lack of completion, Recyclus and its huge losses and debt to its parent, etc. etc. Just hit the buy button, bailed Stanbury out a bit, and are now trapped in a lobster pot of their own making like dozens of others who got spiked up to 0.40 before Christmas.

Companies House shows both Brundle and Turkmani as directors of TECHNOLOGY MINERALS PLC Company number 13446965.

The annual report lists them as directors too.

I think whoever told you that has sold you yet another lie there mate.

On 14 January 2025 (before this week's issue of 448,493,000 shares), the number in issue was 1,874,727,998.

On 16 January 2025 (after this week's issue of 448,493,000 shares), the number in issue was 2,323,220,995 [a discrepancy of 3 shares, but no matter].

Therefore, before 15 January 2026 the company can only increase its share capital to 2,249,673,598 shares without the need for a prospectus (120% of 1,874,727,998). But they have already taken it up to 2,323,220,995 on 16 January 2025!

On 15 January 2026 - not before - they can take the share capital up to 2,787,865,198 shares without the need for a prospectus.

Oh, I well understand what is going on here. I believe you are being spun a narrative that is not true and makes no sense to hide the actual goings on - i.e. you could be getting diluted to ******* by a management desperate to keep the illusion going lest their activities come under scrutiny by people with real powers of sanction. Hence why I suggested you read the story of Clarence Hatry.

You've already been spun the line - twice - that shares were sold to an "institutional investor" (no laughing at the back) with no subsequent TR-1, indicating that the shares were either forward sold or quickly cast to the wind.

If you invest in companies like this up the stagnant end of the London pond without knowing who owns and controls what, you are indeed the mug punter others portray you as.

You either do basic research or get shafted. It's obvious the path you took. Mug.

Sorry, but that's not "logical" at all. Brundle and Turkmani are both directors so fulfil the exemption for issues not needing a prospectus.

Why incur the Stamp Duty by issuing the shares to Stanbury and having him transfer them? Surely the other directors would subscribe direct and eliminate the need for a transfer incurring Stamp Duty?

We have evidence to the contrary. Century Cobalt selling. Stanbury saying he is subscribing for a placing to get around Prospectus Regulation Rules, but will be immediately selling those shares on.

If it were another director buying, why did they not subscribe themselves? Why did they need Stanbury as an intermediary? Why double the stamp duty?

Not for the first time, make it make sense?

My guess is you will not see a TR-1. Like the Century Cobalt sales those shares have been forward sold / flipped into this week's volume and scattered to the wind in 5M parcels. MMs doing MM things, making a low risk return.

Next, consider Atlas. Consulted or not, they are going to be pretty sore at having their bailout buying volume taken away. Their interest on conversion has been diluted too because shares cannot be issued below par.

Preferring one creditor over another is risky too, for all sorts of reasons. Once the statutory demands start they quickly snowball.
