Ah, the old "AJS is BT" shtick, carried over from the TM1 board by another brand new poster. Yawn.

Last week I was supposedly Tom Winnifrith. Then Tom Visual. Then someone else.

To be clear.

I didn't open an account here until I retired last year and was free to comment on the absolute sewer that is London small caps. This is the one and only account I have ever had and while I've been watching this company since old Charlie Barclay first spoofed you all donkeys years ago, I've never had a position long or short here, at KEFI, TM1, SWC, GEX or at any company I comment on. That's market abuse, and I'd be a bit of a hypocrite if I played those games.

If anyone wants to come up with spurious lists of usernames for 'who I also am', knock yourself out.

But I suggest your time might be better spent doing homework on the next micro-cap grift you're about to invest in.

I see some of you are very sore this morning. If you feel you were spoofed by the 25 June RNS and all that followed, the empty promises, the private audiences at Sharestock, the “official” (LOL) single share telegram group, the “official” (LOL) email distribution list, the open letters to shareholders on the website, the lying to shareholders about the DTR, if all of that has got under your skin, write to the FCA and tell them how you think this company and its Board has treated private investors.

And the next time you come across a private shareholder, like you, with a bearish view based on due diligence you haven’t been bothered to do and intuition from years of experience, don’t abuse them, that’s just rude. Don’t filter them either, that just creates an echo chamber. Instead look at what they are trying to tell you and, if necessary, re-balance your view. You’ll be a better investor for it.

Above all, when you see “related party transaction”….. well, just do more research.

Whoaaaa… let’s back up a little.

So this guy is a proven liar then. At 1208 Friday he wrote to a shareholder “We have been advised to not make any announcements and engage with the market during the FCA Prospectus process…”, a lie that was exposed at 0700 Tuesday when… he made an announcement to engage with the market. The lie didn’t even last 4 days!

You know what it’s like with liars. They get away with one, they tell another. And another. This guy isn’t fit to run a public convenience, let alone a public company. He shouldn’t get to address the shareholders with more of his buzzword bingo fast talk digital gold (whatever that means) Reserve And Rail (whatever that means) nonsense in mid-October. His non-execs should be telling him to go now. Today. Clear yer desk son.

What has he actually done since breaking cover at the end of June?

Rode into town.

Replaced the sitting CEO.

Talked like Allen Stanford (“£1 billion company over the coming cycle”).

Announced £2M funding but actually delivered £0.

Announced ‘immediate’ £1M BTC investment but actually delivered £0.

Despite being a self-proclaimed banking and crypto expert, can’t even get a UK company incorporated, set up with a bank account and “institutional-grade bitcoin custody” (whatever that means) in three months.

Drafted a Prospectus “with a view to raising a minimum of £10 million” and which “could be completed in an anticipated 8 weeks maximum” – now 14 weeks later we are told “at present the Board is not in a position to provide definitive guidance on the size or timing of any raise”.

Lied to a shareholder regarding the Disclosure and Transparency Rules.

Since 25 June, overseen a near halving of the share price (1.45 mid closing 25/6, 0.775 mid at time of writing).

A prediction. That Prospectus has got ‘slow no’ written all over it. Ask Technology Minerals investors who had going on two years of back and forth – “should be approved this quarter” – before the Board admitted their game was up. There have been dozens of other examples down the years. The FCA don’t say ‘no’, they just don’t say ‘yes’, kicking the ball back into the long grass with another long list of questions and proposed edits every time it is retrieved.

When did the FCA last approve a Main Market BTC In Treasury Prospectus? I don’t think there has been one. They are very wary of the bubble in a certain Aquis listed stock and others, and like the rest of us old heads can’t understand why a quasi-investment company (an unregulated one at that) holding such a volatile counter as BTC trades at a premium to FDNAV. BTC ETFs available again from next Wednesday look like putting this model, and the grifters hawking it, out of business.

The idea of an Adviser giving a Board / CEO a free pass on that just because they have a Prospectus in is laughable. Utterly laughable.

If that email is factual, from a CEO to a shareholder, the Non-Executives should ask that CEO for proof that an adviser told him "to not make any announcements".

If that proof is forthcoming, the Board should be sacking that adviser immediately.

If it is not forthcoming, the Non-Executives should be asking for the CEO's immediate resignation.

Not lying to shareholders is about as basic as fiduciary duties come.

Clean and efficient markets depend on this sort of stuff.

It matters.

Absolute cobblers. The Disclosure and Transparency Rules say the exact opposite. They require that the market is kept fully up to date with all relevant information on a timely basis. How can people deal shares fairly without it? To maintain an orderly market per its aims, the FCA may force an issuer to disclose information or face suspension but the idea that it would advise an issuer NOT to disclose material facts is frankly laughable. So I'm calling spoof on that too.

Also, what is sticking puff piece open letters to shareholders on your website (but not in RNS, oh no...) if not "engaging with the market"?

If you look at the warrants position you may be able to work out why there is such resistance at $7.50.

And when you shpectacularly shpoof the market with promises on a timescale that says "immediate"... credibility zero.

Look at the fella's Companies House record. CEO of a mahoosive clean energy blowup, his LLP had cash of £1 last seen, he's never realised a penny of shareholder value his whole career, yet we are to believe as some say that putting £2M in escrow would be "pocket change" for him?

Why doesn't he do it to shut up the naysayers, instead of putting feather bed open letters to shareholders on his website and talking out of the other side of his mouth to the telegram groupies? There is an explanation, but I don't think you're going to like it.

If the FCA listen to reasoned submissions about the naked promote in progress here the prospectus is dead in the water. It will be kicked back into the long grass every time it is retrieved and refreshed.

Mr Market is telling you the chances of money going in at 2p are... remote. It trades at a DISCOUNT to the NAV of its mining assets, which suggests the sidecar St Sath has hitched to it will burn cash ad infinitum.

Technology Minerals never got their RTO Prospectus approved, the FCA just kept kicking it back into the long grass every time they retrieved it. Plenty of other examples too.

Delay to results is rarely a buy signal. Time spent discussing the minutiae with the audit partner would be better spent driving the business forward.
