No signed audit report = no accounts.

No accounts = no lifting of suspension.

They cannot relist until the accounts are published.

They need to raise at least £2M cash plus one year's working capital to prove going concern and get audit sign off.

If the placees play hardball that will be at nothing like the 0.09p pre-suspension price and will need GM approval for the confetti cannons to be loaded.

Recyclus has always been 'revenue generating' and always been above group audit materiality thresholds since IPO.

I suspect it was not consolidated before because it suited the directors of both companies, whose accounts they are, for it not to be. Especially in regards to losses, impairment and intercompany bad debt disclosures.

Now this has come under scrutiny by the Financial Reporting Council prompted by me and others, the auditors have had their knuckles rapped and you might finally get a set of UK GAAP and Companies Act compliant accounts.

But be in no doubt they will be a horror show. Also be in no doubt they are a key part of the path to relisting, and that going concern issues haven't gone away.

Just looking at the sheer number of shares and the size of the dilution.

It would be bad enough if they had been issued for cash £££ at rock bottom prices, but for anyone buying over a penny expecting money to go in at 2p, to have most of these new shares slowly and stealthily transferred to the control of an insider over time for no discernible money measurable value is the biggest shafting of PIs I've seen in almost 40 years watching London markets.

Paid promoters like Proactive, Roast, Stockbox and Traders Cafe are parasites on the market. Those who are being paid to promote should be forced to declare it at the start of every interview because then everyone knows it is an opinion that has been bought, not formed independently.

They are takers from the market and add nothing to debate. Just a mouthpiece for poor performers, and in some cases outright wrong'uns. Who pays these grifters? The companies they promote. Who pays for that? The shareholders. YOU, HERE indirectly subsidise this drivel. Some (like Troajan) actively amplify it!

Good companies do not need paid promoters to ramp their stocks. Good companies deliver profitable growth and let that do the talking for their share price.

IMHO any stock that pays for Proactive or Roast PR promotion is an immediate sell and avoid.
