The employees got their pre-IPO share option for FREE. I know it because I exercised my option at a startup years ago at price of a few p as symbolic gesture. So the SP they will sell at is the net proceed they will get.

If the directors/IIs were happy to sell their shares they bought with money at 500p or even just 250p at IPO, then the 400p would be attractive for those that got their shares at no cost. In my opinion, it is better for them to bulk sell in one lot, than spreading it over the next few months and bring more uncertainties to the market. It was a right thing for the company to offer to do book building despite being stupid to pre-announced it.

My guess is the SP will stay above 400p until US market opens in 2 hours time. If their mood is good, then there is a chance of adding further 5% to over 420p. Or, the SP can crash down back to opening price. I think the former is more likely.

The real reason of the SP fall is driven by fear of the impending sales rather than the actual sales itself. Historically, book building resulted in 7.5% drop in SP and they recovered relatively quickly in the first two ones. However, the SP were much higher than today and in theory, the coming book building can also push up the SP. Nobody knows for sure, but I took the gamble to go all back in this morning.

sheltie, I don't think Berenberg's valuation is wrong if Darktrace was an established company. However, the valuation did not factor in the human factors such as end of lockup period and ML having to sell to raise money for lawsuit, wider economy mood etc.

The transaction pattern is in smallish quantity but constant selling, it looks to me that some big shareholders, Angela most likely than not, or Venessa, must have (pre)ordered their dealers to offload some shares. Like most others, they thought the SP would go up today.

Most would not be aware of the expiration of lockup period had Darktrace was not so stupid to pre-announce the massive selling. This can cause a lot of damage in 2.5 weeks time and they are hurting the financial of their very own employees.

Let me speak out the obvious. There already is the major shareholder Angela that is ready to offload at anytime. Then employees' lockup period ending this month with date for accelerated sell announced in RNS. No sane investors would buy before 1st May. I took this morning opportunity to sell up all my shares with mind of buying back in May.

As you guys may know, I post news article quite a lot. However, I don't post the full articles from my subscription because it is not a right thing to do because the publishing company needs to make money too. Instead, I would normally post an except or at least write a summary. For those who want to know more, you are welcome to pay to subscribe and read the articles. These are the stocks that I monitor daily just for comparison. I used to feel so bad seeing Darktrace SP nosedive while others were in green. Today US market is down, including Crowstrike and SentinelOne for about -5%. Judging from today's volume, I feel that Darktrace might still be in green tomorrow. Anyway, even if it fallback 10%, I would still feel grateful and fortunate as I know I would still be doing better than many others. I spoke to a friend yesterday and his Russian ETF was down 66%.

As the SP is up, I no longer mad at these reporters. Instead, I pity them, they fail to see the golden opportunity right before them to make some money. Same goes for foolish people who believe them.

FTSE100 is nothing. Don't be obsess about it. Darktrace felling into bottomless pit whilst in FTSE100, and now raises a lot quicker than most if not all FTSE100 stocks. It is just a novelty and nothing else. The market is much stronger force than FTSE tracker funds which I heard are small in size.

Looks like it is in auction now, but my HL account is already showing 515p.

If you want the latest Darktrace news, this BB is the place, no one beat our speed :) But now the media is spreading the news that Darktrace is in profit. This is HUGE! Many UK investors have been holding back because of this, now the floodgate is opened!
