AHS as i posted several times, the original deal was Lewandowski keeping the other 40%, with him and the management team staying on. Talking of the management, you stated that they were the new shareholders. What information do you have to prove this?

as usual you fail to read posts. i have never said the deal is off. i leave the absolute certainty bs to you. what i have said is that, based on the balance of probability, i don't expect it to complete.

Good to see AHS reverting to insults rather than engaging in a debate

The BoD also said they expected the deal to complete by the end of November AHS.

Let's look at the actual options rather than anybody insulting anybody else.

1. The deal is on. That means one of several things

Either the four new shareholders are selling their shares to GST and Lewandowski is selling a minority of his to GST so GST get their 60%. This seems a cumbersome structure

Lewandowski has retained 60% to sell to GST and either exits the business or remains as an employee. This is possible but is a material change to the original transaction structure.

Lewandowski keeps 40% and GST becomes a minority shareholder by buying 20% off him.

Lewandowski sells a controlling stake to GST and remains with the business as a minority shareholder.

2. The deal is off. Lewandowski has brought in additional shareholders either to inject capital into the business or for his own benefit. As far as we know none of the new shareholders are exec or non exec directors.

On balance of probability, which is how I always work, option two looks the most likely to me.

AHS the original deal RNS stated Lewandowski would keep 40% of the business.

This is one of the strongest arguments for the deal, in that the CEO believed in the future and had significant skin in the game still

The fact that they couldn't foresee that the COVID boom was momentary should be alarming.

Who was talking about the covid boom Crawshaw, although the common perception at the time was that the move to online would only accelerate.

The real problem was that inflation, which everybody thought was transitory and a war in Europe which nobody expected massively slowed down economies and increased costs.

you will see from subsequent comms the point about mobile technology has been dropped. Because it can be better fulfilled by Bake's platform and or a solution delivered by our very own IT solutions provider It's now all about a business case for profitability of the Polish market.

Longfell the main rationale for buying Easysend was it's mobile platform. That has now changed to a business case for the Polish market.

Bake has a great mobile platform and Semnet doesn't just do cyber security, it is a full IT service provider.

So the core reason for buying Easysend no longer exists.

Wrt the new shareholders in easysend, I specifically said they had presumably bought them, which means I don't know for certain!

I think you struggle to understand the rationale for the Easysend purchase. It was primarily about their mobile capability initially. Bake and Semnet provide better solutions. So Easysend has moved to become about profitability in the Polish market. Hence, if we can make money the deal may happen. If we can't, it won't. It's binary now.

Why do you think Lewandowski has offloaded some of his shares AHS and left himself in a position where he can't fulfill the original terms of the transaction. Unless, ofcourse the new shareholders are going to pass their shares to GST.

Why should it Southcoast, it's always been a minnow basket case. How will the Kamani's shaft Frasers and a substantial Ii base?

Southcoast I've no idea how many jobs they have cut exactly, maybe contact IR.

What we know is 200 head office jobs went in December and an additional 50 PLT jobs are going now.

They could still be in discussions. Lewandowski could still remain with the business as an employee or do what Hosp has done. He could leave totally and the sale could still happen.

What I am saying is that, in my opinion, bringing in four new directors who have presumably bought a substantial number of Lewandowski's shares means that it is probable that the GST deal won't happen. If it does happen it won't be under the original terms.

Unlike you and AHS I'm not speaking in absolutes, I'm speaking in probabilities, and I think it is important that we discuss both sides of the equation objectively.

I could easily be wrong, so could you.

As I've been saying for months I don't particularly care if the Easysend deal happens. If it does, it will only be because we can make a profit from the Polish market. If it doesn't, then we have made the right decision not to invest capital.

In my mind Bake and Semnet have made Easysend largely irrelevant
