Question 2:
Zenakine is a part of several formulations containing other ingredients. Do we get our double digit royalty on the percentage of sales of the full formulation, or do we get a percentage of a percentage? If the latter, did you negotiate the split of revenues formulation by formulation or were you told it by Croda?
Answer: We cannot provide this level of information.
Question 8:
NDA QUESTIONS SUBMITTED:
Answer: Confidentiality provisions of the Licence Agreement apply for and beyond the terms of the licence. However, we won’t be prevented from notifying the market about revenues received to the extent the Company has a regulatory obligation to do so.
Question 9:
PRODUCT LAUNCH TIMELINES QUESTIONS SUBMITTED:
Answer: There are no products launched yet. Launch dates for new products are in the hands of Croda’s customers, however when we know that the first products have been launched, we will be informing the market.
Question 15:
How long before the Amsterdam launch were you aware that Croda were launching Zenakine in a space unrecognisable to your shareholders?
Answer: We have no obligations to provide those sorts of details.
Question 16:
If there was any further deals upcoming with Croda, would you do things differently regarding the power they yield over information? If so, what?
Answer: Given the successful launch of Zenakine to the industry, our two acquisitions and our improved financial position, we believe we are in a much stronger place for future negotiations.
Question 28:
RNS stated “trading continues in line with expectations in all group entities for the full year to June 2025”, there’s also it stated “creating a platform to reach profitability in the medium term” SA also mentioned Croda revenues are booked quarterly in arrears. What's the definition of medium term? As profit is a matter of opinion and cash is king, So short term, i.e. to period end of June 2025, will SBTX be cash flow positive with sufficient bunce to not require an additional funding round, especially after considering the underlying half-year cash burn and a broker forecast of period end net cash of just £300,000?
Answer: We refer you to the financial part of the investor presentation, the HY results and the Cavendish analyst note. It should be noted that current guidance does not include any royalty revenue for Zenakine™. Given the lack of visibility in these early stages on potential amounts and timing of royalty revenue for Zenakine™ and the confidentiality provisions of its agreement, the Group does not propose to initially forecast royalty revenue.
