Novacyt warns that this conflict 'could now have a significant impact on the turnover of the first quarter of 2021 realized with the DHSC'.

'Novacyt has sought legal advice regarding this conflict and believes it has a strong case for asserting its contractual rights,' says Oddo.

The [Oddo] analyst points out that the NHS seems to be contesting the billing terms, giving rise to a risk of revenue recognition. 'As a reminder, around 50% of Q1 2021 revenue came from DHSC sales.'

From RNS dated 09.04.2021 - "..although the Company supplied PROmate™ in Q1 2021 in accordance with DHSC demand."

As DHSC needed exsig direct OR PROmate, at some point exsig direct deliveries stopped, and PROmate deliveries started.
This is likely to have been early February 2021, as document 7, (Technical Validation of Primer Design Ltd PROmate™ COVID-19 Direct Workflow Solution IFU)
was last-modified: Wed, 03 Feb 2021.

PROmate product announced in RNS 16.11.2020, I don't believe company supplied PROmate before this date, because DHSC would be waiting for the PROmate technical validation.

21.5 The mediation shall commence within twenty eight (28) days of the confirmation of the mediator in accordance
with Clause 21.4 of this Schedule 2 or at such other time as may be agreed by the Parties in writing. Neither
Party will terminate such mediation process until each Party has made its opening presentation and the mediator
has met each Party separately for at least one hour or one Party has failed to participate in the mediation
process. After this time, either Party may terminate the mediation process by notification to the other Party (such
notification may be verbal provided that it is followed up by written confirmation). The Authority and the Supplier
will cooperate with any person appointed as mediator providing them with such information and other assistance
as they shall require and will pay their costs, as they shall determine, or in the absence of such determination
such costs will be shared equally.
21.6 Nothing in this Contract shall prevent:
21.6.1 the Authority taking action in any court in relation to any death or personal injury arising or allegedly
arising in connection with supply of the Goods or Services; or
21.6.2 either Party seeking from any court any interim or provisional relief that may be necessary to protect the
rights or property of that Party or that relates to the safety of patients or the security of Confidential
Information, pending resolution of the relevant Dispute in accordance with the Dispute Resolution
Procedure.
21.7 Clause 21 of this Schedule 2 shall survive the expiry of or earlier termination of this Contract for any reason.

21. Dispute resolution
21.1 During any Dispute, including a Dispute as to the validity of this Contract, it is agreed that the Supplier shall
continue its performance of the provisions of the Contract (unless the Authority requests in writing that the
Supplier does not do so).
21.2 In the case of a Dispute arising out of or in connection with this Contract the Supplier and the Authority shall
make every reasonable effort to communicate and cooperate with each other with a view to resolving the Dispute
and follow the procedure set out in Clause 21.3 of this Schedule 2 as the first stage in the Dispute Resolution
Procedure.
21.3 If any Dispute arises out of the Contract either Party may serve a notice on the other Party to commence formal
resolution of the Dispute. The Parties shall first seek to resolve the Dispute by escalation in accordance with the
management levels (if applicable) as set out in the Order Form. Respective representatives at each level, as set
out in the Order Form shall have five (5) Business Days at each level during which they will use their reasonable
endeavours to resolve the Dispute before escalating the matter to the next level until all levels have been
exhausted. Level 1 will commence on the date of service of the Dispute Notice. The final level of the escalation
process shall be deemed exhausted on the expiry of five (5) Business Days following escalation to that level
unless otherwise agreed by the Parties in writing.
21.4 If the procedure set out in Clause 21.3 of this Schedule 2 above has been exhausted and fails to resolve such
Dispute, as part of the Dispute Resolution Procedure, the Parties will attempt to settle it by mediation. The
Parties shall, acting reasonably, attempt to agree upon a mediator. In the event that the Parties fail to agree a
mediator within five (5) Business Days following the exhaustion of all levels of the escalation procedure at Clause
21.3 of this Schedule 2, the mediator shall be nominated and confirmed by the Centre for Effective Dispute
Resolution, London.

Clause 4
4.6 Without prejudice to any other provisions of this Contract or any other warranties or guarantees applicable to
the Goods supplied and subject to Clause 4.7 of this Schedule 2, if at any time following the date of the delivery
of any Goods, all or any part of such Goods are found to be defective or otherwise not in accordance with the
requirements of this Contract (“Defective Goods”), the Supplier shall, at the Authority’s discretion:
4.6.1 upon written request and without charge, promptly (and in any event within twenty (20) Business Days
or such other time agreed by the Parties in writing acting reasonably) remedy the deficiency by repairing
such Defective Goods; or
4.6.2 upon written notice of rejection from the Authority, treat such Defective Goods as Rejected Goods in
accordance with Clauses 4.2 to 4.5 of this Schedule 2.
4.7 The Supplier shall be relieved of its liabilities under Clauses 4.2 and/or Clause 4.5 of this Schedule 2 to the
extent only that the Goods are damaged, there are defects in the Goods and/or the Goods fail to comply with
the requirements of this Contract due, in each case, to any acts or omissions of the Authority.
4.8 The Authority’s rights and remedies under Clause 4.6 of this Schedule 2 shall cease within a reasonable period
of time from the date on which the Authority discovers or might reasonably be expected to discover that the
Goods are Defective Goods or within such other period as may be set out in the Key Provisions, if any. For the
avoidance of doubt, Goods not used before their expiry date shall in no event be considered Defective Goods
following the date of expiry provided that at the point such Goods were delivered to the Authority they met any
shelf life requirements set out in the Order Form.

Limited Assurance Warranty, Source: document 6 redacted contract Shedule 1 Claus 12.

12 Warranty
12.1 With regards to the Instruments, for a period of two years from date of purchase and with
regards to the Supplier Reagent Kits as per their referenced shelf life, Supplier warrants,
to the original purchaser only, that each Instrument and each Reagent Kit shall be
(i) of good quality and free of material defects,
(ii) function in accordance with the Specification, and
(iii) approved by the proper governmental agencies required for the sale of products
for their intended use (the “limited warranty”).
If any Instrument or Reagent Kit fails to meet
the requirements of the limited warranty, then, Supplier shall promptly (in any event within
twenty (20) Business Days or such other time agreed by the Parties in writing acting
reasonably) either repair or replace, at Supplier’s discretion, the Instrument or Reagent Kit,
as applicable. Except for the limited warranty stated in this section, Supplier disclaims any
all warranties, express or implied, including but not limited to, any warranty of
merchantability, fitness for a particular purpose regarding the Goods. Supplier’s maximum
liability with any Authority claim under this warranty shall be to replace the faulty Goods
free of charge or refund to the Authority the full costs for such faulty Goods paid by the
Authority to the Supplier if replacement is not possible. The limited warranty above shall
not apply if the Authority has subjected the Supplier Instrument or Reagent Kits to physical
abuse, misuse, abnormal use, use inconsistent with the Supplier Instrument User Manual
or Product Insert, fraud, tampering, unusual physical stress, negligence or accidents.
Unused Reagent Kits must be stored according to the required storage conditions as
printed in this product insert and they can be used only up to the expiry date printed on the
Reagent Kit pouch and Reagent Kit box. Any warranty claims by Authority pursuant to the
limited warranty shall be made in writing within the applicable limited warranty period.

Step 4 – Allocate the transaction price to the performance obligations in the contract

Step 5 - Recognise revenue when (or as) the entity satisfies a performance obligation.

The Group’s revenue recognition processes are generally straightforward, with recognition of revenue at the point of sale and
little significant judgement required in determining the timing of transfer of control. Given that, the Group principally satisfies its
performance obligations at a point in time and the amounts of revenue recognised relating to performance obligations satisfied over
time are not significant.

3. Passing of risk and ownership in Goods
3.1 Risk in the Goods shall pass to the Authority when the Goods are delivered as specified in this Contract.

The Supplier will provide rebates on the basis of cumulative expenditure by the
Authority and Contracting Authorities over the duration of the Contract (the “Rebates”)

Rebates will be provided monthly based on the aggregate number of Instruments purchased
(excluding those swapped out), as follows:

For the avoidance of doubt, both Rebates above apply within the tier at the marginal
rate and not retrospectively to products purchased before the tier threshold was
achieved.
Payment profile:
• Invoices will be raised on a twice-monthly basis on the 15th of each
month (or the first Business Day thereafter) and the last Business Day
of each month for Goods and Services which have been delivered in the previous two weeks.
• All invoices must be sent quoting a valid purchase order number to: [REDACTED]
• The first two invoices shall be paid by electronic transfer no later than 7
days from the date of invoice
• Purchase order covering the first 14 weeks to be raised at signing of the contract.
• Following the first two invoices, payment should be made by electronic
transfer no later than 30 days from the date of invoice.
• All Goods are subject to VAT where applicable

3 Performance Standards.
3.1 The supplier shall comply with the following KPI's (Completely Redacted).
3.2 With effect from 01.10.2020, if the supplier fails to achieve:
3.2.1 Two (2) or more of the mandatory targets during two (2) consecutive months; or
3.2.2 Two (2) or more of the mandatory targets overa total of 3 months across the Term of the Contract, then such failure shall trigger the Supplier issueing the Authority with a Remedial Proposal and the provisions of clause 15.3 (Term and Termination) of Schedule 2 (General Terms and Conditions) shall apply save that:
3.2.3 If the supplier has failed to remedy the default notwithstanding the implementation of the Remedial Proposal two (2) months after agreeing the Remedial Proposal, then such failure shall be deemed a material breach incapable of remedy and the Authority shall be entitled to terminate this contract pursuant to Clause 15.4 of Schedule 2 (General Terms and Conditions).

Compensation:

If, for any reason, this contract is set aside or otherwise declared to be ineffective
or invalid for any reason whatsoever, then the supplier shall provide to the authority
and the authority shall pay the supplier for all goods and services which have
been supplied or which are in the course of being supplied,
such payment to occur within 7 days of the later of
(a) the date of setting aside or such declaration, and
(b) the supplier invoicing the authority for the same.
The parties agree that this provision shall be effective notwithstanding any setting aside
or declaration of ineffectiveness or invalidity of this contract.

1 Management Information and Meetings
1.1 The Supplier Contract Manager is required to attend scheduled meetings which will be at least fortnightly and
they will need to provide management information and reports as set out in paragraph 2 below at least 1
Business Day prior each meeting and report on KPIs and volumes.
1.2 Management of minimum volumes
1.2.1 The Authority’s operational contract manager and Supplier are to meet at least fortnightly to review
the minimum volumes the Authority’s forecasted aggregate demand (Reagent Kit volumes, number
of Instruments) for each of the Goods and Services in scope of this Contract for the subsequent 8
weeks.
1.2.2 These forecasts are not binding.
1.3 Stock replenishment
1.3.1 The Authority’s operational contract manager will obtain weekly stock reports from each of the labs
and will share review this with the Supplier.
1.3.2 The Authority’s operational contract manager and the Supplier will then agree how the delivery
schedule and allocation of Goods and Services should be adjusted to maintain lab stocks above a
minimum of 14 days reserve stock
1.3.3 The Supplier will deliver Reagent Kits to support the replenishment of Reagent Kit supplies to
maintain two weeks stock at each q16 / q32 Instrument site.

2 Contract Monitoring and Reporting Arrangements
2.1 In addition to the reporting requirements set out in Schedule 2 (General Terms and Conditions) the Supplier
shall provide the Authority with:
2.1.1 a monthly written report setting out details of the Supplier’s performance of this Contract when
assessed in accordance with the KPIs within 7 days of the end of the calendar month. The first
such report shall be delivered to the Authority on 07 November 2020;
2.1.2 a monthly written report (which may be within the same report as above) setting out details of the number of actual goods delivered against the delivery schedule set out in the implementation plan or as agreed with the Authority during fortnightly management meetings; and
2.1.3 a monthly written report (which may be within the same report as above) setting out details of spend under the contract and volumes of goods and services sold and the impact this has on the Authorities Rebate, as described in the Order Form.

Training Commitments:

The Supplier shall provide to the Authority the following training if ordered by the authority:
(a) training for competency examination (“Competency Training”), consisting of
approximately of preparation, training and examination; and
(b) continuing professional development (“CPD Training”) required to maintain
competence, consisting of sessions, including a learning assessment at the end of the session.
Each of the Competency Training and the CPD Training (a “Training Session”) can
be provided by way of in-person workshops or online lectures, to be agreed
between the Supplier and the Authority.
The Authority may invite up to 6 individuals to participate in each Training Session.
The Supplier shall use reasonable endeavours to ensure that the Competency
Training session is provided as soon as possible after ordering. CPD Training
(Continuing Professional Development) sessions shall take place by agreement between
the Authority and the Supplier.

Under IFRS 15.53, the Group can use either:
• The expected value (sum of probability weighted amounts); or
• The most likely amount (generally used when the outcomes are binary).
The method used is not a policy choice. Management use the method that it expects will best predict the amount of consideration
based on the terms of the contract. The method is applied consistently throughout the contract. Variable revenue is constrained if
appropriate. IFRS 15 requires that revenue is only included to the extent that it is highly probable that there will not be a significant reversal in future periods.
In making this assessment, management have considered the following factors (which are not exclusive):
• If the amount of consideration is highly susceptible to factors outside the Group’s influence;
• Whether the uncertainty about the amount of consideration is not expected to be resolved for a long period of time;
• The Group’s experience (or other evidence) with similar types of contract;
• The Group has a practice of either offering a broad range of price concessions or changing the payment terms and conditions of
similar contracts in similar circumstances; and
• The contract has a large number and broad range of possible consideration amounts.
The decision as to whether revenue should be constrained is considered to be a significant judgement as the term ‘highly probable’
is not defined in IFRS 15, management consider highly probable to be significantly more likely than probable.

The meaning of 'Performance Obligation' or 'Revenue Recognition' follows. Refer to document 5 above for source:
Performance Obligations are:

Performance obligations are promises in a contract to transfer to a customer goods or services that are distinct. determine the transaction price.
The transaction price is the amount of consideration to which an entity expects to be entitled in exchange for transferring promised goods or services to a customer.

A performance obligation is a promise to transfer to the customer a good or service (or a bundle of goods or services) that is distinct (IFRS 15.22).
At a contract inception, entities need to identify the goods or services promised in that contract.
This is a starting point in identifying performance obligations.
In addition to the goods or services explicitly stated in the contract, all implied promises (e.g. by past business practices or published policies) that create a valid expectation of the customer that the entity will transfer a distinct good or service are also treated as separate performance obligations, even though they may not be enforceable by law (IFRS 15.24, BC87).

Activities that do not transfer a good or service to a customer are not a performance obligation even though they may be necessary to fulfil a contract (IFRS 15.25).
Examples of such activities are setup of a manufacturing process or connecting a customer to a telecommunications network.

Revenue Recognition is:

Revenue recognition is a generally accepted accounting principle (GAAP) that identifies the specific conditions in which revenue is recognized and determines how to account for it.
Typically, revenue is recognized when a critical event has occurred, and the dollar amount is easily measurable to the company.

When to recognise revenue
Revenue is recognised when/as performance obligations are satisfied in the amount of transaction price allocated to satisfied performance obligations (IFRS 15.46). A performance obligation is satisfied by transferring a promised good or service to a customer (IFRS 15.31). A good or service is transferred to a customer when they obtain control of that asset.

A performance obligation can be satisfied (and revenue recognised) at a point in time or over time.
If a performance obligation is not satisfied over time, it must be treated as satisfied at a point in time (IFRS 15.32).
