BURFORD CAPITAL URGES SHAREHOLDERS TO VERIFY VOTES CAST FOR AGM
Burford Capital Limited ("Burford Capital" or "Burford" or "the Company"), the leading global finance and asset management firm focused on law, today released the following statement concerning AGM voting.
Since our RNS yesterday we have communicated with many shareholders and found widespread support both for the amendments to the Articles and for the reappointment of our existing directors pursuant to the previously outlined transition plan.
Without the amended Articles being adopted, the Company will not be able to proceed with its plans for its US listing
We would urge shareholders to verify that their actual intentions have been properly reflected and voted by their back offices, nominees and other intermediaries.
Please vote:
-
FOR the amended Articles of Association (resolution 14) to enable the Company to continue towards a US listing
-
FOR the reappointment of Sir Peter Middleton and Charles Parkinson (resolutions 2 and 3), consistent with the Company's transition plan
-
FOR the amendments to the LTIP (resolution 11), which also contains items needed for a US listing and as to which the Company has withdrawn the only amended section that was the subject of ISS and Glass Lewis objection
The deadline for proxy voting is by no later than 4.00pm British Summer Time on Monday 11 May 2020 so we would urge shareholders to act today to ensure their voting intentions have been accurately reflected.
Burford's Board of Directors commented:
"The Company has been hard at work on the US listing, which was expressed as a clear priority of many shareholders. We will not be able to continue that work if the appropriate resolutions are not passed at next week's AGM."
