From the 2012 Zanaga Iron Ore Annual Report & Accounts..
'The holder of an exploitation licence is required to incorporate a Congolese
company to be the operating entity and the Congolese Government is entitled to a free carried interest
in projects which are at the production phase. This participation cannot be less than 10%. There is,
therefore, a risk that the Government will seek to obtain a higher participation in the Project."

## it is not clear to me if this free carry is split with Glencore or not. It will need looking up definitively.

## This is important news, finally the SEZ is moving, the land appropriation held this up for a long time. The story is coming together.

I think there is less chance of a JV where ZIOC would still be involved. The likely scenario is ZIOC will sell out totally while Glencore JVs and retains a part (non majority) interest. ZIOC does not really bring much to the party other than half ownership. Also, 3 companies being involved would be a crowd and less attractive to Chinese interests, imo. Further, there is the government's free carry interest as well.
