Well it will start off at around 3.05p as thats the "Subscription Price" £0.0305 (or 3.05 pence each) per New Ordinary Share; I doubt that they will be valued at less then that because that's the price the big company via Peterhouse Corporate Finance, £1,076,150 (before expenses) was given that price and these companies always get well below market value. If we are at 3p tomorrow that means that every 1 million shares you currently have will be just 4000 shares and that value would now be £120. Thats going to be very painful to see and if we want at least the value of the closing last closing price we would need a price of at least 12p.

Well one thing should be certain tomorrow and that is we will be top riser in the risers table on LSE tomorrow but unfortunately that will only be due to consolidation. Anyway we will be at a huge loss but I may decide to start averaging down with this company if they depending on the purchase of the oil and gas project.

Hello mate I can understand your concerns as we all hate losing money and I am sure it still affects the big companies like Peel Hunt but no way as much as it would with us. I just want our current BOD to clear off and the sooner the better as nothing was happening. We have to give the new BOD a chance as you never know how good they will be. They may pull something out the bag thats amazing.

In order to recapitalise the Company and, provide the Company with sufficient cash resources to enable it to fulfil its new strategy and to provide funding for the CVA, Peterhouse has conditionally raised £1,076,150 at £0.0305 per Subscription Share, through the Subscription of 35,283,591 New Ordinary Shares. People need to calm down and understand what exactly is happening! Yes we will be losing money in this deal but it is basically the best thing they could do as nothing was ever going to happen with Kyrgyz Republic as that asset is basically in suspension mode anyway and the current BOD are incompetent nipts anyway. They were never going to get work done and even if they were allowed to it would be alot more costs and time required and how do you think they would fund this? Our current BOD is rubbish and just terrible (as i saw in previous RNS they gave assets away in litium and other base metals to the previous owner just so that they keep there gold asset like idiots). The best part of this deal is that we get a completely new BOD if anything and the other BOD just f off. Yes we will have less shares but there will also be alot less shares on issue as currently we have around 1.5 billion shares and then it will be consolidated to around 40 million shares. it is consolidated to 25000 to 1 and then subdivided by 100. So for every 1 million shares you have you will have 4000 shares within 40 million shares in issue. its really simple. I would defiantly want this deal to happen as i was really fed up only seeing a holdings RNS 25 times in a row. At least now we can move onto another sector in oil and gas and have a totally new BOD with a company with no debt anymore and around £1 million to spend on a new asset in Oil and Gas within Europe. Also think about it if its gets voted through whos likely to lose more? Have you seen how big a stake Peel Hunt have around 10% share in the company based on last RNS holdings thats 141 million shares which for them will be converted to around 564,000 shares that's it! Now i hope this can be passed as im starting to doubt it would and if a company like Peel Hunt is willing to vote it in then it must be worth it as they get converted to such a small amount then it must be a good deal. Hello mate its uncertain times here and there is no liquidation going on so disregard that other persons comment as we have no value assets to liquidate so that's stupid to say that lol. What is happening is pretty much a reverse take over however us current holders will be unfortunately heavily diluted but depending on how good the assets is it could be a good investment for long term but may need to average down big depending on what asset is obtained when they change the BOD and business. Its not like we were in any better position as it is as no work was ever going to be done there by the looks of it and the idea of trying to sue the government was just a big joke haha as if a government will ever pay a private company compensation to a private company that aint even from there own country anyone that believed that is in cloud cocoland. Its all about the new assets they purchase and that could truly make or break our investment. By the looks of it the new BOD are moving away from that region completely and looking to take a Oil and Gas asset on in Europe. The Company's proposed new Investing Policy is to invest in and/or acquire companies and/or projects within the natural resources and/or energy sector with potential for growth and/or income. The Company may also directly apply for new exploration licences or invest in existing licences. It is anticipated that the geographical focus will primarily be Europe, however, investments may also be considered in other regions to the extent that the Proposed Directors consider that valuable opportunities exist and returns can be achieved. So Europe is the best bet and could get a depressed sell especially if the Euro keeps dropping and they have income to buy it in pounds or dollars. What income they will have after the completion of the proposal : £926,150 of cash. If the CVA and the Disposal are approved, the Company will have no other assets and accordingly, pursuant to Rule 15 of the AIM Rules, becomes an investing company. Following the issue of the Subscription Shares the Company will also have approximately £926,150 of cash to make further investments. Also all the debt will be cleared as it will start anew. To be honest I was worried it was heading for delisting like TXO and FML have just done along with many others as when that happens you have no clue what the value of your shares will ever be and 9 times out of 10 its worthless. I will for sure vote yes to this and look forward to a change of BOD and business and may even top up depending on the asset they purchase and if no asset is purchased within 2 months of resuming trading I will just cut my loses whatever the price it is and move on.

Mate I have worked out the maths already and you got to look at what your stake will be within the 40 million shares after its done. Convert your shares by 25,000 and then subdivide that by 100. Lets be honest at least something is now happening as it was doing nothing at the moment and likely to go bust and lose it all. After the consolidation yes we will be further diluted but there will be no debt and they have a new BOD who will have £1 million to spend on purchasing a new asset which is going to be in oil and gas. Stay positive my friend as this is AIM and things always surprise you when you least expect it.

The more I looked into this the more I realized that this is actually more of a reverse take over than a share consolidation! This is because you will have No debt, New BOD, change of name and hopefully a new great asset purchased and that's the key to this as what is the asset they will have? They will have around £1 million to spend on getting one and will see how good a business men these new BOD are with what they are planning to purchase.

Gaf they have already put the consolidated rates in and at the end of it there will be 40,731,291. Your shares are going to be divided by every 25,000 is one share and then that gets subdivided by 100. so if you had a million shares you will then have 40 shares that will be subdivided in the end and end up being 4000 shares at the end of it within the 40,731,291. For your shares to be worth exactly the same as it is currently then a price at the end of it needs to be at £0.12.5p (twelve and a half pence) Any price under that at the end of this consolidation is at a loss for us from its current price now. That would give the company a market cap of around £4 million 800 thousand pounds with its shares on issue of 40,731,291.

Well I would much more prefer something like this to happen then for it to go into administration and be delisted which is what would of happened soon if no works can be done.

My holding in it at the end of this process with me having 2 million shares currently will be 0.02% with having around 8000 shares part of the 40,731,291 shares.

Hello Oblelix as you currently have 10 million shares your shares will probably be 40,000 at the end of consolidation. Currently you have close to 0.% of the stake of its capital and at the end of it you will have around 0.10% of its capital as the finial shares on issue will be 40,731,291 at the end of the process which ain't a bad holding especially if the Market Cap is above the £6 million range then our shares will be in greater value then it currently is. And if the new asset this BOD is taking on is really good and gives it a market cap of £100 million as it maybe in production already then we will be in great profit. Lets be positive my friend as this could turn out to be much better then it currently is.

Also lets be honest this company has stayed in suspension for nearly 2 years now as what is having an asset and not being able to do work on called? Being is suspension! We have stayed around the 0.05p mark for nearly a year and that was basically is suspension price. Right now it is just an official suspension instead of an unofficial one which is was in. I have waited over a year in this company and I am patient enough to wait another month to know what is actually happening and not just hoping for it like before as it was not in that previous BOD's hands. I will give credit to the previous BOD for suspending there salaries but they should of done it right away once they knew they can't do anywork. I will vote in favor of this resolution and research into the new BOD and hope they do a much better job which aint that hard compared to previous BOD.

Ok first things first I am now relieved we have finally got a significant RNS that ai't a Holdings RNS omg that was driving me crazy. Well the RNS ain't good but it aint bad either as we don't know what the new asset will be and what its market cap will be after reorganization. I am pleased we will get a new BOD as the previous BOD were useless and when I researched and found out they gave back the lithium and other base metals assets to the previous company they made the purchase of there gold project from I was furious. I never would of invested in this company if I did my research sooner and found that out beforehand and that was lesson learned and they just idiots as they put all there eggs in one basket and even though that basket could of been made out of gold if they can't get get to it then its worthless. They should of other options. Anyway i would like to give this new BOD a chance and they are starting off a fresh and clearing all debts which is good. How the consolidation works as now I have 2 million shares and at the end of it I will have 8000 shares. So every 25000 shares gets consolidated to one share worth £25 and then this 1 share gets converted to 100 shares and the £24 of it gets deferred. So my 2000000 shares divided by 250000 equals 80 shares and the multiply by 100 equals 8000.

Still can't believe this has a market cap below a £1 million. Usually companies that have such low market caps are ones suggesting they wish to delist or go into administration. But PGR has never had a hint of suggesting of such a thing and still wish to proceed with doing the exploration if they are allowed to then that would give it at least a £5 million market cap which aint that far off and that's like 0.45p. The next RNS that aint to do with Holdings is going to be very signification here. Good luck to all here and hope the patience pays off.

Yes that is how consolidation works and I know how it happens but what your missing out is the price they wish to consolidate at and its not at 0.07 or even its 0.045 closing price. They are looking to consolidate at 0.01 and that's at a loss for everyone.

Well the comical thing in the end of the day if your in this share at the end of the consolidation its going to be worth less in value then what it was worth at its last closing price FACT! In the end the one who will be truly laughing is Tim Baldwin as he will be taking a nice salary no matter what happens.
