OK guys,any news on the street about what is going on?

Last night and the night before LSE recorded black print transactions above the normal purchase range,now today another 3 transactions have appeared recording instructions from yesterday.

Has anyone any explanations,news etc.

At this juncture, it all gets a little technical and legal.

As I see it CEO can call an AGM after the end of the financial year, should he call an AGM then he must, if he so requires, put himself up for election to the post of CEO.

I can see no barrier to also asking shareholders to raise the ceiling.

There is usually an AGM following the publication of annual accounts, this is mid-year.

Last year CEO had two AGMs',most odd.

With an EGM I don't think the CEO has to be re-elected.

I dare say the company legal team will enjoy putting me right.

Should he call for EGM/AGM in January I am sure he will be successful in getting the agenda passed.

Based on the extract from the RNS posted on 30th August thus;

"Canmax is currently interested in more than 10 percent. of the issued ordinary share capital of the Company, and the Subscription is a related party transaction for the purposes of Rule 13 of the AIM Rules "

And as the last RNS was silent on "Related Parties" I think that Canmax did not take part in the fundraising.

I am not 100% on this point however I do think raaydaar is correct.

I would refer you to the RNS dated 30th August which covers Canmax offer of £5m to Premier and in particular the disclosure at the bottom of the report concerning Related Parties.

I would usually agree however on 23/12 last year CEO called an AGM.

Premier and the Lender have today agreed to vary the Facility by increasing the size of the Facility from £1.7 million to £2 million and to waive any interest on a repayment by Premier of the Facility in cash ("Amended Facility"). Premier and the Lender have further agreed that Premier will make one request of a draw-down under the Amended Facility in the amount of £2 million.

No mention of any "Share Settlement"
