Paris, France, Eastleigh and Manchester, UK – 21 December 2023 – Novacyt (EURONEXT GROWTH: ALNOV; AIM: NCYT), an international molecular diagnostics company with a broad portfolio of integrated technologies and services, announces an update to the conditional disposal of its laboratory in Taiwan, which it acquired as part of the Yourgene Health plc (“Yourgene”) acquisition completed on 8 September 2023.
On 13 June 2023, Yourgene announced the conditional divestment of its Taiwanese subsidiary, Yourgene Health Taiwan Co Ltd (“Yourgene Health Taiwan”), to INEX Innovate Pte Ltd (“INEX”), a Singapore-based molecular diagnostics company focused on women’s and fetal health, for proceeds of up to US$4m (approximately £3.2m).
As previously announced, the divestment is conditional upon Yourgene completing a pre-Closing restructure (the “Restructure”) to facilitate the transfer of retained people and assets to other Group companies, which must be approved by the Taiwanese Government, and INEX then being granted Taiwanese Government approval for the planned acquisition as required for non-Taiwanese acquirers. The Restructure is now complete, however the various approvals have taken significantly longer to achieve than originally anticipated and management do not expect the transaction to complete by the end of 2023 as previously announced.
Both parties remain committed to completing the transaction and the Group is continuing to work with INEX to obtain the necessary approvals as quickly as possible. Novacyt will provide a further update on the disposal as part of its trading update in January 2024.

I believe LR displayed his contempt for ordinary shareholders a couple of years ago at the time of one of his (not) informative on-line ‘meet n greet’ chores. In response to a number of legitimate queries surrounding the retreating SP, he arrogantly announced he would restrict comment on matters over which he has influence.
Little did we know then that his ultimate ‘influence’ would decimate shareholder value to death.
He has secured his future and there’s an end to it. Why would he lower himself to now respond to the anger he has safely left behind? Despicable.
Did anyone here ever contact Rees to express their views, I assume not and if so chance of a response must be minimal, but just for interest, did anyone try / get a response - would absolutely love to hear what excuse Rees could come out with for a wholesale F' up like this. I do hope life treats him to what he deserves.

Yes Opti, a must for both parties really. But Ncyt will survive if it goes wrong, Ygen won't I fear. They won't get another placing away either. They have to hope the big players have since calmed down and vote in favour.
It this goes for admin then it won’t be easy for ncyt and there will be other player. Plus with ncyt 1h revenue of just 3.3 million then need yourgene to boast their revenue number.
So, this deal is a must for ncyt!!
Maybe Ncyt will buy it out of administration for peanuts.
And miss his bonus don't think so ..be interesting to see his approach if it fails first time.. there will be sweat ..on the this has got to happen announcement to the beligerant

Agreed! Anyone that want to get back at Rees et al have an avenue for this with Andyken.
If we get a counter bid then great but I don’t want to get diluted if we need to have another raise .
I’m in at 0.3p so a nice return but I feel sorry for investors who are in higher up .
Better to have 0.522p than have another highly discounted raise so I’m voting for this bid.

It's a simple maths equation - financing costs v takeout price - the nearer the date gets, the closer the sp gets to the offer. GLA
This latest indication of a pulse in the SP has all the vibe of a living being in its death throes. LR overseeing the last rites prior to switching off life support. And then moving on to the next patient, conscience intact.
Maybe some know it's going through as planned and making an easy 5%+. Or maybe another offer incoming..lol

Well that depends on how important you feel it is to send a message and how strongly you feel that those that shaft others shouldn't then be able to profit from their actions, each to their own, I'm not here to judge just giving my opinion.

Been in this mess since 2010 with just over 10K invested (all during the Vialogy days...) Still averaging around 50p. Lovely to see a nice message in my HL account saying the misery could soon be over with me coming out with just £93. What an absolute joke. (Mind you my wife came out with nothing, with her average at just over £5 (again on Vialogy - Yes that was actually possible) and lost all her 2K investment when it became worth less than the Halifax monthly admin charge that got imposed last year!)

Don't think it matters either way does it? `Likelihood is that it probably will go through, so a bit more to gain if you hang on.
Either way, whether I sell now or wait for the deal to be done, I'm at a financial loss. Which is the easier to claim a loss on when balancing my CGT: the deal or just sell out now? Any advice welcome

My boss is quite a successful business man. I captain his 50m Feadship. After having spoken to him about the share over the years. That was his opinion. He was pretty confident that in most cases where unscrupulous activity takes place directors are held to account.
Mt. Lawyers say there are a few points they could be taken to task over. Who's your boss anyway and what do they know of the situation?
I'm voting for, as What is the point of voting against and ending up with nothing. Very odd imo. If you want to get back at Rees et al then Andy is the best way.
We won't know if we don't try. Costs nowt. As for no grounds, well misleading the market and shareholders is a pretty good place to start.

We can all agree Ygen is worth more, but the old saying, it's only worth what someone is willing to pay. At this point it's around £23M Inc the TF payoff.
Otherwise Ncyt will pick this up out of admin for a tenth of the price. BGF sees fit to agree, so that tells you everything.
For those planning to vote NO.....if there's no other bids you're voting against means if successful we will effectively be a basket case of NOTHING!
Surely the way to go is vote in favour, back Andrew Kennedy and meanwhile keep fingers crossed for a new bidder to appear.

Ncyt are as big or bigger basket case than Ygen!! Won't touch Ncyt until we know the outcome of the govt dispute. Latest results there were shocking imo! Without the covid cash they would already be toast..
I have offloaded 65% of my holdings and for the remaining holding have voted yes.
For those continuing the journey under Novacyt, I look forward to seeing YGEN potential being realised there (hopefully).
Otherwise, all the best everyone. It's been a big and expensive learning experience with this one!
Sure, 10% alone would be, but we just need a bidder at a minimum - to push Novacyt to increase offer imv. I'd hope for pushing to 0.75/1p aimho

I wonder how the former owners of Coastal Genomics feel about the takeover they agreed to 3 years ago?
They thought they might get $13.5m, but will receive no more than $5.5m by my estimations. Admittedly a lot of it relates to COVID, but a lot of it also relates to LR’s complete incompetence.
I presume they will be voting for the takeover to make sure they get at least the $2m they will be due this financial year.
The total consideration payable by the Company will be up to US$13.5m and will comprise the following:
· cash consideration on Completion of US$3.0m;
· consideration of US$2.5m payable by the issuance on Completion of Initial Consideration Shares at a price of 18.3 pence per share (as described below);
· two further elements of consideration of US$1.0m each for early strategic customer wins, payable in ExchangeCo Shares and Ordinary Shares at a price of up to 18.3 pence per share, and subject to lock-up periods of 12 months;
· contingent cash consideration of US$2.0m should Coastal Genomics generate revenues of at least US$4.0m for the year ended 31 March ("FY") 2022; and
· contingent cash consideration of US$4.0m should Coastal Genomics generate revenues of at least US$8.5m in FY23.

I'd like to hear from the Board what the contingency plan is if they don't get enough votes and no other bidder emerges.

It appears today’s rns amounts to an administrative rearranging of the deckchairs before the good-ship Ygen finally sinks below the waves.
On an initial reading of the announcement, one could easily be forgiven for incorrectly believing that the tweaking comes from a multi-national conglomerate (millions of new shares issued, millions of warrants being cancelled). Instead the reality is of a failed attempt to conquer the world by massively overreaching.
At least the Cap’n of the doomed ship is saved, available to work his reverse- magic elsewhere.
Of course it is a man. Not too sure what planet this buffoon is on?

I think if we don't hear anything by month end then doubtful another offer will come in imo. Any suitors will have had enough time by then for any DD. Would the likes of Illumina, TF or Labcorp be bothered about such a small company?
Andyken still needs a few more shareholders to join him. That's one way to do it.

That would be the perfect scenario Davand but unfortunately I think it's game over now for this company. I don't think following the investment through Novocyt is a smart move either. With hindsight the whole process has stunk the place out and I hope somebody somewhere has given Rees both barrels.
I too doubt Ncyt will improve their offer. It will take a counter bid to increase what's on the table.

I wasn't entirely sure of how irrevocable the BOD's undertakings were, but having read the full RNS now, it's all pretty clear in Appendix 3 - the undertakings can only be waived in specific circumstances, which include a competing offer being made that values Yourgene at a value which is at least 10% more than the current offer. In those circumstances, the undertakings lapse (allowing the Board to make alternative undertakings to a new suitor) unless NVCT itself makes a further (better) offer within 3 days of the counter-bid, in which case the undertakings remain with NCYT.
So, the key thing is whether the brokers declaring positions are acquiring on behalf of NCYT, or on behalf of someone else. I suspect it's NCYT, but if there was ever an under-valued business that deserved a bidding war, then this is probably it - time will tell.
