So tomorrow is the AGM and the shareholders vote of the approval for the sell, I wonder if we’ll get a statement about the details of Special divi and share consolidation or have to wait until the next interim statement

Reckitt is a consumer products company,
there is little similarity with TATE.
TATE is ingredients, some of which are unique formulations.
The money returned may be in the form of a share consolidation,
so less shares in issue with a debt free company.

We will be selling 25% of the company for 0.9 billion
So will own 75% of the original company
0.5 billion will be paid to the amount of shares on the book now 468 million =1.06 per share
We will still be in for dividends from newco but will have limited say on the board
After the share consolidation most of us will be underwater but if the board buy the right companies or products with the cash we could be on the par with Unilever or Reckit Ben
I do think this company will be taken out before all this occurs for 9 pound

From my back of the fag packet calculations (I'm no expert) they are selling 25% of the company for £0.9B which values the whole company at £3.6B or about £7.70 a share. (They are splitting half the company and retaining 50% of the sold half).
They are giving a special dividend of about £1 a share (possibly more, I'm not sure if it will be divided by the number of shares in issue before or after the sale). (Dividend may be taxed if not in a ISA/SIPP)
So after the sale the remainder should be worth £5.77 a share + about another £1 in retained cash (+ £1 special divi).
It's not clear to me if current holders will be issued shares in the new company or just indirectly through T&L's 50% stake. If we only have shares in the remaining 50% then I guess they are worth £7.70 / 2 = £3.85 a share + shared income from the new company + (retained cash + special divi).
I'm sure I've made lots of mistakes or wrong assumptions. Anyone?
I’m not surprised with Tate & Lyle announcements of Special Dividend and Share Consolidation, it seems it’s the buzz word with CEOs at the moment like other companies Tesco, GSK, Vectura, Pennon etc have already done to make the CEO look good when the EPS goes up due fewer shares than b4. It shows me the kind of management at the helm and not in a good way

The Board intends to return approximately £500m (US$0.7bn) to Ordinary Shareholders by way of aspecial dividend with an associated share consolidation following Completion, subject to a subsequentShareholder approval. The balance will be retained to strengthen Tate & Lyle’s balance sheet, andthereby provide capacity to accelerate investment in the growth of its retained Food & BeverageSolutions (“F&BS”) business.
Well with today’s announcement of approval of the sale by the FCA and the voting being held on 30th Sept, hopefully we’ll have some good news and details about the Special Dividend soon for a change to stop this dripping downward momentum since May’s announcement
I hope you are right but It made a new low 705.60 on 31/08/2021 so let’s see.
I’m not a technical person but the stock price behaviour is important to me of the direction it wants to go.
So for me before I can think of that momentum has changed to upwards, first I hope it closes above 745ish that would tell me the direction might be changing finally and then if it closes above 771ish would confirm that a change of direction might be in progress, before first I can dream of seeing 815.80 again and perhaps consider that the upward momentum might have resumed again to me and then I’ll worry high targets later.

Good thanks. I think this does mislead people who buy the shares thinking they are investing in sugar!
Yes you are right the sugar business was sold back in 2010 and the name is licensed to the American company to still use it. Tate & Lyle Plc has only been involved in sugar reduction and healthy ingredients ever since.

Read that the UK sugar producers having bad times with sugar beet that ends up the white stuff in bags sold by Primark . They worry about the cane sugar coming in the UK trade deal with Australia. But will Tate &Lyle benefit from these big imports anticipated or frankly will Tate &Lyle be nothing to do with Sugar anymore?
My understanding is you now buy Sugar with Tate &Lyle written on the packet but was this not sold off years ago I remember it Happening I think to an American company. Think many people still buy Tate &Lyle shares because they buy the sugar and think it’s good to buy a British Commodity share. Stand to be corrected if I do not have this right!

I wanted to buy this stock, I looked back during the pandemic because I knew it was solid.. then the board ruins it? Why?
