So reassuring to know that I now need to divide my holding by 2,567,471,359 in order to work out my percentage share of the company
I was getting worried I might have to notify them
Regarding a falling share price...no idea. Maybe the discount would no longer apply if a certain s/p floor is reached. Sounds like it's all dependent on agreed terms and we'll just have to find out what level of dilution would be needed if and when that happens. If anyone smarter with more experience would like to correct me, please do so.
I'm no expert but it does seem a little ambiguous Italian. It reads to me that this is the first of twelve scheduled CLN conversions, of which half of the value looks like it will be converted to equity and half of which may remain as a short term debt (plus interest) to be repaid in cash at a later stage (or as additional equity if there is need for that with more dilution). I can't really find any information to suggest whether partial conversions / redemptions of CLNs are possible. Everything I have read implies it is usually one or the other with a caveat that it is up to the parties to define the specific terms of a CLN.
If it is possible and if that is what has been agreed, a hybrid approach to repayment could make sense to improve cash flow and to reduce interest. I won't pretend I know what's going on for sure though...just reading between the lines a little.
This is a pretty good link though if you fancy a read: https://www.jonathanlea.net/2021/a-guide-to-convertible-loan-notes/

i have had a few glasses of wine , so sorry for any rambling , in most contracts there is always a smoke and mirrors , i wouldn't get to hung up on compensation provisions ( how do you define that ? ) , also every RNS will be open for interpretation , bums on seats and the Asian A Lister is the mechanical way forward for me , back in my slippers and back to bed :)
at the risk of being a bore I'm going to repeat the question in my earlier post.can any anyone explain the mechanics of how the compensation provisions work.in case the thrust of my question is not clear, the provisions as set out in the CLN RNS seem to me to be incomplete.it may be that i am too dense to understand them,so its a genuine question, as unless i am being really stupid (always a possibility) they cannot really mean what they appear to be saying.any replies would be appreciated.
can anyone explain how the mechanics of dealing with a fall in the s/p between conversion notice and admission, as outlined in the CLN notice, would work?
Your 'previous advice' now is it? Well, get him !
Do you really anyone is ever likely to take advice from you?
You're a laugh a minute !
Lol, I see my previous advice has been ignored already. Glug glug. No wonder my Diageo shares have been flying lately.
Hi BA,
Looks as thought they are clearing the decks getting the financials sorted before releasing further results, MelodyVR results were late last year, mid-term results should be quite soon, or am I mistaken! GLA
'IQ of a postage stamp' - LOL (and I did when I read it).
Er....Londondan, you measure IQs numerically, not by their body mass.
You really are a prize chump.
2,567,471,359
Thats the total shared issued
Not total available
around 60% are locked and held by board, Institutions and long term holders
I don't expect you to understand anything, given that you appear to have the IQ of a postage stamp. Everyone else here seems to manage just fine.
Enjoy your evening. Try not to overindulge again; you've already had your fill of humiliating late night rants for one week.
London - re your post 16:59. You have plenty of problems.
You're illiterate - so how do you expect me to understand it ??
Well, if our investor could reap interest from the loan at say, 15 - 20% pa, at least we know they will be looking for more, the only way is for the SP to improve!! Gla
Lol that did tickle me. Bloody sods law though I actually topped up another 4k 10min before the bloody announcement!
GLA
Only two and a half billion shares? That's about two weeks' worth of TBB top ups.
Well, our investor has just converted over £6m into shares, fantastic confidence.
There is now only
2,567,471,359 ordinary shares Available GLA
2 days out on my RNS feeling, I feel we will see one on Monday
Embers
Are you saying they will not gain ANY market share from Spotify. That's pretty ridiculous.
Spot have around 250 million subscribers. It shouldn't take a huge percentage of that for NAPS to have a very viable business.
As many of you know I was a LTH. i still have a small holding - £5k...sold £25 and doubled my money at Argo last 10 days and sold to secure profits...so yes i'm happy / ****y.....Thinking about all this...Will Napster gain market share from Spotfiy?...VERY Unlikely.......Are people motivated to use VR to watch music - No......(me included who has oculus )....Positives - ASIA, JG perhaps and NEW VR headsets soon...i just hope NAPS doesn't run out of cash soon...share price yes a little undervalued but a lot needs to happen for this to get near 20p let alone 50p
Only if you turn the charts upside down
so not going vertical then?
What a pathetic excuse for a company this shower is. Cash burn is unbelievable. Placing after placing. Revenue virtually none existant. The whole world has been in lockdown with no live gigs for 18 months, have the BOD took advantage of this, have they nelly. Change the name but the outlook is the same I’m afraid.
Excellent post. Unfortunately there is little-to-no chance of getting rid of the CEO here now. How anyone could look at his experience/performance to date and claim that he's the best man to run a global music streaming business is anyone's guess.
Still, good to see a little rise today. Hopefully it'll keep going as we approach the name change next week, as I'm keen to sell in to the froth.
Hi Mel,
1. There is no point in bringing new blood since the old blood AM , if forcing his way or no way.
2. The best return will be to follow your approach and get new blood a5 the top. That will benefits LTH as yourself.
3. Keep your trading advise to yourself. Don’t need go long/short tips from you.
4. Forwarding you the same feedback I gave Petebo, you tent to cheer every nonsense that comes from management. Your so called “IMO” is extremely biased. You tend to pump hot air and call it in my opinion. Well in my opinion, folks on this thread will benefit if they exclude 90% of your content.
5. Do yourself a favour buy another 100K and have a nice weekend.
