Rojo - I did not expect to see an Inv. Chr. article, perhaps that spiked some interest? My first investment in Goodwin was in December 2009 - 2050 shares at £10. Have sold and bought since then.

Thanks Canchat - I was expecting the SP to drift back after the tendering, but it has recovered quickly - up again today.
So what exactly is going on ?
This never was a readily traded share, so a wide spread is to be expected.
RoJo - Having seen the Prelims I think the shares will drift back. If you pay 4800 to buy that gives a P/E of 23.9. Anticipated dividend gives a yield of 2.4%. I am not rebuying at this level.
The real killer is the spread when trading is at such a low level

I have just bought back the few shares I tendered. While you may be right short term, I sense that the business is enjoying increasing success.

In my 10:08 message on 9 June 2023 I stated: -
'What has changed? I don't believe that the current SP will be maintained. CHAT'
So on Friday I sold 35% of my holding at 4485p average, put my words into action (partly).
I now have a bundle of cash in my S and S ISA.
Only time will tell if I am doing the right thing.

So the deal has been done - Everyone that said 'yes' to the minimum got the minimum in cash at £48 - some that tendered for more than their minimum got more cashed in at £48. So a fair value? £38.55 before. Tender £48.00. Difference £9.45.
2.34% less shares so £38.55/0.9766 = £38.91. We have had the first half results which the Board has indicated will be reflected in the second half. So where does the true value lie? You believed £39? in MAY 2023. What has changed? I don't believe that the current SP will be maintained. CHAT

The same paperwork hit my doormat last week and my nominee accounts caught up a few days later, by which I mean I now have the option whether or not to accept the tender offer online.
If you hold shares via a nominee, there's probably something similar provided by your broker

I suppose if capitalisation is reduced then Goodwin Family share is increased.
I don’t understand why Goodwin haven’t gone for a share split 10 for 1 to bring the price down to circa £ 4.00 and help attract more shareholders potentially. The sometimes very wide spread on the shares is off putting as a buyer or seller. Reducing the number of shares in circulation as they are doing just reduces the liquidity even more. Unless I missed something I am not sure how I can participate in this tender via a share/SIPP platform but hopefully there is a way.

I look on it as being a bit like a special dividend of just under 3%*, but it's being paid as capital rather than income.
Once the offer is done, the company will be worth a bit less overall because of the cash spent on buying and cancelling the shares in the tender offer, but much the same can be said for when a divi is paid, which also reduces net cash.
If the sp rises to something close to the tender offer then it's value to us, as shareholders also diminishes ( because we could sell directly in the market at that price ), so it's worth keeping an eye on the sp before making a firm decision.
As it stands, for me, it's a no-brainer and, barring a major move up in the sp, I'll take up the offer and probably ask for a bit more than the guaranteed number.
My GDWN shares are held across a SIPP and an ISA so there's no tax implications for me on capital gains associated with the tender offer, but it may be different for others.
*3% is based on the 2.34% of the shares you're guaranteed to be bought at the offer price, uplifted by the 25% uplift to the share price that the offer is being struck at.
Have to say I don’t really understand this? Can someone erudite explain why they are doing it. Seems great but…. Puzzled.
While it is nice to see a sp, going up, the all time high is nearby at 4250, and the sp, would require to breach that price convincingly .Also there is negative divergence in both the Macd, and Rsi, indicators. If the move is a false rise, it may end up showing as an upper shadow on tomorrow's candlestick chart.
SP certainly heading in the right direction.
Lets hope it continues.
Since my last post three members of the Goodwin family have bought significant amounts of stock most recently at 37.50. I will be surprised if by the time of the Annual announcement at end August if we haven't seen a new all time high. The business is on strong foundations and is set to reward shareholders.
I don't know why the share price was strong yet the AGM was held on 5th October. This is a great business and I am confident it will continue to outperform.
Why the SP Climb? Any ideas? Have we a big order?
