Evening
Seems to be a lot of shipmates getting a sniff on the breeze of possible incoming & putting there names on the board for tomorrow’s guess the RNS
Which would be superb & recent market behaviour certainly suggests we are close to the Herculean deal of the decade
Septic Lil will be a quivering mass of love pudding trembling at thought of spending an evening with all that salty sea Musket
I'm useless at guessing the date of the next rns. I'm out again today- that's got to be the 4th time!. Oh well I guess septic lil will forever be out of my grasp!
I'm also going for the RNS to drop after COP tomorrow.
Nice to see someone taking GMF78's research literally:
29/10/20 17:08 78,000 28.00
Would love this to drop tonight. Sweating on an RNS in SYME as well and would love to top up there before that's dropped!
The contract will be signed if agreed subject to shareholders approval. That will be the first we here of it. GLA
Evening All, my view on this is that it will take as long as it takes. That doesn’t stop any of us speculating or hoping and indeed sharing those hopes on this board. For some reason some on this board take exception to it. My hope is that they do an after hours RNS just to catch out the shorters and the jelly legs. Nothing more nothing less, but one thing is for sure I ain’t goin nowhere until that final RNS.
ATB, Pete
If you were to take the last week of November for the offer rns to be made then thirty days to vote on it would take us up to
Christmas time.
There is no official deal until both parties come to a legal agreement. For a deal to be announced, that legal agreement has to be in place. Any stage prior to that is not legally binding, therefore, there is no deal before that point.
You need laywers to draft the legal agreement, that's why DLA Piper are here, they have no other purpose.
GLA
Well what are DLA Piper there for then? A genuine question, I'm not an expert in these matters.
peter47 I predicted 22nd December way back in February and still sticking with it eight months on, didn`t make me a de-ramper then or now, lets just wait and see.
Why we are talking about the final stages etc when there's been no mention of a bid, which correct me if im wrong has to be approved by the shareholders? Why would DLA Piper be involved crossing T's and dotting I's when they don't know which T's and I's they are crossing and dotting.
Not a deramp but I do think people are getting way ahead of themselves here.
@gilen, if you've been in this situation before on a smaller scale surely there is a process, make an offer, await approval, get contracts drawn up, etc etc. The "legalities" as you called them.
Calm down
Would be great if THE RNS came tomorrow after COP and make a real Halloween nightmare for any open shorts :)
GLA
With all due respect Peter I've only been here since August but since then every day has been "news tomorrow" pretty much. I don't think "before Christmas" is in any way a de-ramp or unfair, we're only 2 days off November after all!!
These things just take time and we just have to be patient until the end. As others have said logic suggests the longer it takes the better the deal... a "no deal" would be far quicker to arrange I am sure!
4yrs ago, I did an acquisition, albeit on a much smaller scale, the procedures however are the same.
We are defo in the final stage, it's just there are more dots and "T's" to cross, in a language called "legalities". But I know from my experience, that a completion date is scheduled into negotiations early on, to secure a framework for all concerned, that's what gets my heart fluttering, because its close!!!
Reading a few earlier posts , subtle Deramps, end of November, before Christmas etc all deliberate to panic more weak to sell , this I believe will more imminent, signs and signals are all in place
What they offer their clients is good -
"Our clients benefit from timely, pragmatic and commercial approach to problem solving that adds value to their business and enables transactions to come to a successful conclusion for all parties."
Particularly this part -
"enables transactions to come to a successful conclusion for all parties"
Tick tock, tick tock, tick tock . . . .

Definitely stage 8 for DLA Piper imho -
https://corporatefinanceinstitute.com/resources/knowledge/deals/mergers-acquisitions-ma-process/
"For the tenth consecutive year, DLA Piper earned the top legal advisor ranking globally for overall M&A deal volume according to the 2019 Mergermarket league tables."

This 100%, just need to wait for the pay day
RNR1969
This is precisely the point I was making a few days ago. There has to be a firm commitment from any bidder for EUA to then commit to racking up what would be very expensive fees each day.
The potential buyers will have top drawer advisers too but given we have best in class on our side is a plus.
RMR,
Great post, factual, challenging, amusing, succinct , well done.
Agree RMR! EUA have their own legal expert on the BoD to get it so far. I think DLA were brought in to audit, finalise and sign off
Well said Sir
lol - it's obviously a guess, but there is logic to it, timelines and dates all line up really well so I have long thought tomorrow is a strong candidate.
It struck me more than ever when I wrote the post how significant the DLA Piper appointment was, not just because of who they are, but the fact that such a change would only have happened when circumstances had altered, something specific happened which initiated our BOD to appoint them, and so obviously it was to do with moving into a new phase. I believe I know what that change was, an offer had been agreed in principle, that's my view.
Anyone who comes on here suggesting all doom and gloom needs to address that point for me, clarify why DLA Piper would be appointed 12 weeks into an FSP if the process was not developing positively. If they can't answer that for me I have no interest in what they have to say.
Lawyers like that don't get appointed on a whim, imagine calling them up "hi, is that DLA Piper? great, can we appoint you to act for us at your extraordinarily large hourly rates, sorry what was that, do we have someone interested in buying us? no we don't, no one is interested, we are in an FSP but have had no takers, we just want to appoint you so we can RNS it and so our share holders believe we are doing something, is that ok?" - DLA Piper - "yea no problem that will be great, we would love to get involved with a dodgy Russian scam on AIM, it's exactly the sort of business we deal in, does wonders for our reputation as the world's leading M&A lawyer, thanks for thinking of us, sign us up"
Anyway, keep up the great work TillyWhiz, love your posts, appreciate they may not be for everyone, I think only those who have been here a while can really appreciate them, we have needed some laughs and humour from time to time and you have certainly helped with that.......!
