Rosneft Publishes Voluntary Offer to Acquire RN Holding Shares

On November 6, 2013 Rosneft (hereinafter - the Company) published the Voluntary offer to acquire RN Holding securities held by minority shareholders (hereinafter the Voluntary offer) and sent the Voluntary offer to RN Holding.

Acting with accordance to the law on October 18, 2013 Rosneft submitted the Voluntary offer to Bank of Russia.

Under the Voluntary offer, Rosneft plans to buy out 1,918,701,184 ordinary and 450,000,000 preferred shares of RN Holding. Price of RN Holding equity acquisition is set at RUR 67 per 1 (one) ordinary share and RUR 55 per 1(one) preferred share.

The Voluntary offer shall be accepted within 75 days from the date when it is received by RN Holding (by January 20, 2014). A shareholder can inform Rosneft on share sale by post: POB 38, Moscow, 111033, Russian Federation or in person, using the addresses given in Item 6.3.3 of the Voluntary offer (applications will be accepted in more than 60 Russian regions).

Shares to be sold under the Voluntary offer shall be credited to Rosneft business or depositary account within January 21 to February 4, 2014. Shares will be paid in cash within 15 calendar days after they are credited to Rosneft account (no later than February 19, 2014).

In compliance with the Russian legislation Sberbank of Russia acts as underwriter for the Rosneft Voluntary offer.
