Update re recommended cash acquisition

OMEGA INSURANCE HOLDINGS LIMITED

Omega Insurance Holdings Limited ("Omega") stated in the circular posted to shareholders on 14 May 2012 (the "Circular") that it expected the Acquisition Effective Date would be on or before 31 July 2012.

Omega is pleased to confirm that, together with Canopius Group Limited ("Canopius"), it has made significant progress in satisfying the regulatory conditions and requisite approvals set out in Part IV of the Circular. Omega now expects the Acquisition Effective Date to take place before the end of August 2012.

Omega will update shareholders as soon as the Acquisition Effective Date is confirmed.

The settlement of the cash consideration by Canopius will take place within 10 days of the Acquisition Effective Date.

Unless the context otherwise requires, terms defined in the Circular but not defined herein have the same meaning when used in this announcement.
