RESULT OF GENERAL MEETING

Purplebricks Group plc (AIM: PURP) (Purplebricks or the Company), the hybrid estate agency providing a new way to sell, buy or let property, is pleased to announce that at a general meeting of the Company's shareholders held earlier today all resolutions were duly passed.

As a result, shareholders have granted the Company's directors the authority to allot and issue 22,727,272 new ordinary shares of 1 penny each in the capital of the Company (the Placing Shares) for cash on a non-pre-emptive basis. The allotment and issuing of the Placing Shares is in connection with the approximately £50 million (before expenses) fundraising undertaken by the Company as more fully detailed in the Company's announcement of 22 February 2017 and the shareholder circular published on 23 February 2017.

Application has been made for the Placing Shares, which rank pari passu with the Company's existing issued ordinary shares, to be admitted to trading on the AIM market of the London Stock Exchange (AIM). Dealings on AIM are expected to commence at 8.00 a.m. on 14 March 2017 (Admission).

Total Voting Rights

Following Admission, the issued share capital of the Company will comprise 270,500,911 ordinary shares with voting rights attached (one vote per share). This figure of 270,500,911 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
