Notice of General Meeting

PROACTIS Holdings PLC, a global Spend Control and eProcurement solution provider, announces that it has posted a circular to shareholders containing a Notice of General Meeting, to be held at the offices of Walker Morris LLP at Kings Court, 12 King Street, Leeds LS1 2HL at 10 a.m on 14 April 2014.

Following the recent placing of 4,400,000 new ordinary shares of 10 pence each in the share capital of the Company ("Ordinary Shares"), raising gross proceeds of £2.2m to enable the Group to move forward with the M&A element of its growth strategy, the Directors consider that the authorities remaining to them to allot Ordinary Shares is insufficient. As such, the General Meeting is being convened in order to replenish the Directors' authorities to allot Ordinary Shares so that the Group is well positioned to maximise acquisition opportunities.

A copy of the circular is available on the Company's website, www.proactis.com.
