Proven Growth & Income VCT PLC22 March 2006 ProVen Growth & Income VCT plc (the 'Company')22 March 2006 Issue of Equity ProVen Growth & Income VCT plc announces that that on 21 March 2006, 3,144,904'C' Shares of 5 pence each were issued and allotted at a price of 100 pence pershare under the Offer for Subscription made by the Company dated 22 November2005. Application for the new shares to be admitted to the Official List of the UKListing Authority and to trading on the London Stock Exchange's market forlisted securities will be made at the earliest practical opportunity. Following this allotment, there are now 14,420,077 'C' Shares in issue. The Company also announces that, included within the above, is the followingallotment to a Director of the Company: Nicholas Lewis, a Director, was allotted 10,300 'C' Shares in the Company at aprice of 100 pence per share.
