Issue of Equity and Total Voting Rights

Nighthawk, the US focused oil development and production company (AIM: HAWK and OTCQX: NHEGY), announces that, on 7 November 2014, it had received a conversion notice to exercise share options over 400,000 ordinary shares of 0.25 pence each (the "Option Shares"). The Option Shares have an exercise price of 5 pence per Option Share. Application has been made for the Option Shares to be admitted to trading on AIM and it is expected that this will to take place on or around 17 November 2014.

Following the issue of the Option Shares, Nighthawk will have 960,976,330 Ordinary Shares in issue, which will also represent the total number of voting rights in the Company. This figure should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
