Issue of Equity and Exercise of Warrants

EXERCISE OF WARRANTS AND ISSUE OF EQUITY

Berkeley Mineral Resources Plc (the "Company"), announces that it has received notifications to exercise warrants to acquire 43,333,334 ordinary shares in the Company (the "Warrant Shares").

The warrants were issued pursuant to warrant instruments in connection with a placing to raise GBP 2,050,000 announced on 31 August 2010. The exercise price for the Warrant Shares is 3p per Warrant Share.

Application has been made for the Warrant Shares, which will rank pari passu with the Company's existing Ordinary Shares in issue, to be admitted to trading on AIM. It is expected that admission will be effective and that dealings in the Warrant Shares will commence on 1 November 2010.

Following the issue of the Warrant Shares, the enlarged issued share capital of the Company will be 592,555,030 Ordinary Shares of 1p each. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules. For further information, please contact
