Pure Wafer PLC02 December 2005 2 DECEMBER 2005 PURE WAFER PLC ("Pure Wafer" or "the Company") Grant of Options The Board of Pure Wafer announces that it has granted options to acquireordinary shares in the Company to Keith Baker, James Dearing and PeterHarrington, who are all Directors of the Company. Keith Baker has been awardedoptions to acquire 63,829 ordinary shares. James Dearing has been awardedoptions to acquire 25,531 ordinary shares. Peter Harrington has been awardedoptions to acquire 25,531 ordinary shares. These options are being granted pursuant to the Pure Wafer plc 2005 PerformanceShare Plan ("the 2005 PSP Plan"), full details of which are set out in acircular posted to shareholders on 21 October 2005 and which was approved at theCompany's Annual General Meeting on 15 November 2005. The awards of the above options are dependent upon the Company's normalisedfully diluted earnings per share (EPS) for the financial year ended 30 June2008. In summary, full vesting of the awarded options will occur if the Companyachieves an EPS of 20p or more in the financial year ending 30 June 2008. The options will normally be exercisable any time after 16 November 2008, threeyears after their grant, provided that at that time the performance criteriahave been confirmed as met. The options are exercisable at a price of 2p pershare.
