Director's Dealings

Gresham Computing plc (the "Company") has received notification from Kestrel Opportunities, a cell of Guernsey Portfolios PCC Limited ("Kestrel Opportunities") that on 5 April 2012 it acquired 25,000 ordinary shares in the Company at a price of 59.00 pence per share and acquired 50,000 ordinary shares in the Company at a price of 60.41 pence per share.

Kestrel Partners LLP, which Max Royde (Non-executive Director of the Company) is a partner of and holds a beneficial interest in, is the investment manager to Kestrel Opportunities. Mr Royde is also a shareholder in Kestrel Opportunities.

Following these transactions, Kestrel Opportunities holds 4,487,854 ordinary shares in the Company, which represents approximately 7.7 per cent of the Company's issued share capital.
