Emblaze Ltd (LSE:BLZ) ("Emblaze" or "the Company") BGI Investments (1961) Ltd. Cash Offer Herzeliya, Israel, 30 December, 2013 Capitalised terms will have the meanings ascribed to them in the Company'sannouncement of 24 December 2013. BGI Investments (1961) Ltd. ("BGI") informed the Company on 24 December 2013that it had made, through B.G. Alpha Ltd., BGI's indirectly wholly ownedsubsidiary, a cash offer (the "Offer") to holders of ordinary shares in thecapital of the Company to acquire five (5) per cent. of the voting rights ofEmblaze, subject to the terms and conditions of the Offer. The Company's board of directors is required by Israeli law to state itsposition vis-à-vis the Offer (either (i) to recommend or not recommendacceptance of the Offer; or (ii) not to make a recommendation but to givereasons for such decision not to make a recommendation). Following consideration of the matter, the Company's board of directors hasunanimously resolved to refrain from making a recommendation with respect tothe Offer as it relates to potential dealings in shares of the Company betweenits shareholders, which the board of directors of the Company, as well as theCompany itself, are not party to. The board of directors of the Companyappreciates that the decision whether or not to accept the Offer is a personalone for each shareholder and will depend upon their individual circumstances. The Company's directors Mr. Avraham Wolff, Mr. Yossi Schneorson, Mr. AmnonBen-Shay and Mr. Hanoch Winderboim have a personal interest in the Offer byvirtue of their position as directors of BGI. The Company will continue to notify shareholders of any updates with regard tothe Offer by issuing further announcements via PRN, a Regulatory InformationService.
