Board Update

ZOO Digital Group plc (AIM: ZOO), the tech-enabled localisation and digital media services partner to the global entertainment industry, provides a further update on changes to the Board.

The Board is pleased to announce the appointment of Alan Newman as an independent Non-Executive Director and Audit Committee Chair Designate, with immediate effect. Alan will succeed Mickey Kalifa as Chair of the Audit Committee, when he stands down from the Board at the FY26 AGM, having served a term of nine years.

Alan is an experienced non-executive director, Chief Financial Officer and business adviser, with a specialism in media, technology and knowledge-based businesses. His background combines senior management roles in global businesses including CFO of Ebiquity plc and YouGov plc, with senior consultancy and professional services leadership roles at KPMG and EY. He is currently Audit Committee Chair and Senior Independent Director of Future plc, an international media group.

Further to the announcement of 29 April 2026, Gillian Wilmot CBE, Chairman of the Board, has now stood down as a Director of ZOO with immediate effect and is succeeded as Chair of the Board by Nathalie Schwarz, previously Senior Independent Director.

A search for a further independent director and Remuneration Committee Chair Designate is in progress and the Board expects to appoint this position following the FY26 AGM.

Mr Alan Philip Stephen Newman (aged 69) is currently or has been a director of the following companies within the past five years:

Alan currently holds no direct interests in the Company's ordinary shares.
