ZEGONA TOTAL VOTING RIGHTS

During October 2021, Zegona repurchased and cancelled 214,532,103 ordinary shares in connection with the tender offer and issued 887,594 ordinary shares which were subscribed for by members of its management team.

In accordance with the FCA's Disclosure Guidance and Transparency Rule 5.6.1R, Zegona hereby notifies that as at 29 October 2021 it had issued 5,325,567 ordinary shares of 1 pence. All of the issued shares carry voting rights of one vote per share.

The above figure of 5,325,567 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Rules.
