XPS Pensions Group plc (the "Company")

Voting Rights and Share Capital

In conformity with the Financial Conduct Authority's (FCA) Disclosure and Transparency Rules, the Company hereby announces that its total issued equity share capital at 30 July 2018 consists of 203,863,009 ordinary shares of 0.05 pence each, all of which carry one voting right per share. The Company does not hold any ordinary shares in treasury.

The total number of voting rights in the Company's ordinary shares is 203,863,009.

The above figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure and Transparency Rules.
