NOTIFICATION OF TRANSACTION BY A PERSON DISCHARGING MANAGERIAL RESPONSIBILITIES

The Company hereby notifies the following change in the interest of John Batting, an Executive Director who is considered to be a person discharging managerial responsibilities, in the ordinary shares of £0.0005 each in the capital of the Company ("Shares") on 18 January 2018.

Xafinity plc Performance Share Plan ("PSP")

Following completion on 11 January 2018 of the acquisition of Punter Southall Holdings Limited by the Company, John Batting was granted an award over 153,374 Shares on 18 January 2018 under the PSP. The award was made in the form of a nominal-cost option which will vest three years after the date of grant, subject to the satisfaction of performance conditions. The option would then be exercisable until the day before the tenth anniversary of the grant date, unless the exercise period is shortened in accordance with the PSP rules.

Details of the performance targets applicable to the PSP award will be included in the Directors' Remuneration Report contained in the Company's Annual Report and Accounts for the year to 31 March 2018 to be published in July.
