TOTAL VOTING RIGHTS AND SHARE CAPITAL

In conformity with the Transparency Directive's transitional provision 5.6.1, Warner Estate would like to notify the market of the following:

Warner Estate's issued share capital is comprised of 56,170,865 ordinary shares of 5p each at the date of this notice. Following the transfer of shares held in Treasury announced on 2nd August 2011, no shares are held in Treasury.

Therefore, the total number of voting rights in Warner Estate is 56,170,865. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Warner Estate under the FSA's Disclosure and Transparency Rules.
