Warner Estate Holdings PLC14 April 2008 Warner Estate Holdings PLC ("the Company") Directors' Shareholding The Company has been advised that 3,940 Ordinary shares of 5p in the Companywere recently transferred as a gift to a Trust in which both Mr P C T Warner(Chairman of the Company) and Mr R H Warner (a Non-executive Director) have anon-beneficial interest. Following the transfer, Mr P C T Warner has a non-beneficial interest in9,572,435 shares, representing 17.11 per cent. of the Company's issued ordinaryshare capital and Mr R H Warner has a non-beneficial interest in 5,796,290shares, representing 10.36 per cent. of the Company's issued ordinary sharecapital.
