Geneva, 2 October 2023:ΓΒ ΓΒ In accordance with Rule 5.6.1R of the Financial Conduct Authority's Disclosure Rules and Transparency Rules (the "DTRs"), Wizz Air Holdings Plc (the "Company" and, together with its subsidiaries, the "Group") notifies that on 29 September 2023:
ΓΒ -ΓΒ ΓΒ ΓΒ ΓΒ ΓΒ it has one class of shares in issue, being ordinary shares of ΓΒ£0.0001 each ("Ordinary Shares");
ΓΒ -ΓΒ ΓΒ ΓΒ Γ the total number of Ordinary Shares in issue is 103,334,806; and
ΓΒ -ΓΒ ΓΒ ΓΒ Γ there are no shares held in treasury.
Each Ordinary Share carries one voting right, except that Ordinary Shares held by Non-Qualifying Nationals are subject to proportional disenfranchisement measures as announced by the Company, most recently, on 14 July 2023 (for more information please refer to our Regulatory-News section (https://wizzair.com/en-gb/information-and-services/investor-relations/investors/regulatory-news).
The totalΓΒ voting rightsΓΒ figure of 103,334,806 may be usedΓΒ by shareholders (and othersΓΒ with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.ΓΒ
The total figure ofΓΒ 127,708,655ΓΒ may be used by shareholders for the Company's theoretical fully diluted share capitalΓΒ as at 29 September 2023, such total figure comprisingΓΒ 103,334,806ΓΒ issued Ordinary Shares, 24,246,715ΓΒ new Ordinary Shares which would have been issued if the full principal of outstanding convertible notes had been fully converted on 29 September 2023 (excludingΓΒ any Ordinary Shares that would be issued in respect of accrued but unpaid interest on that date) andΓΒ 127,134ΓΒ new Ordinary Shares which may be issued upon exercise of vested but unexercised employee share options.
