Result of Annual General Meeting
At the Annual General Meeting held on 16 December 2010, the following Special Resolutions were passed;
Special Resolution 1
IT WAS RESOLVED THAT the Articles of Incorporation produced to the meeting and initialled by the Chairman of the meeting for the purposes of identification be, and are hereby, with immediate effect adopted as the Articles of Incorporation of the Company in substitution for, and to the exclusion of, the existing Articles of Incorporation.
Special Resolution 2
IT WAS RESOLVED THAT the Directors of the Company be and are hereby generally empowered to allot 10,000,000 Ordinary shares of no par value (being 10 per cent. of the shares in issue as at the latest practicable date prior to the date of this notice, excluding shares held in treasury) for cash as if any pre-emption rights in relation to the issue of shares [set out or to be set out] in the Listing rules made by the Financial Services Authority under part VI of the Financial Services and Markets Act 2000 (as amended) did not apply to any such allotment, for the period expiring on the date falling eighteen months after the date of passing of this resolution or the conclusion of the next annual general meeting of the Company, whichever is the earlier.
