Board changes

Following the announcement on 8 September 2025 by Wapping Bidco Ltd ("Bidco"), a newly-formed company indirectly owned by investment funds advised by affiliates of Blackstone Inc. ("Blackstone"), that its offer for Warehouse REIT has been declared wholly unconditional, the current directors of Warehouse REIT comprising Neil Kirton (Chairman), Aimee Pitman, Lynette Lackey, Dominic O'Rourke, Simon Hope and Stephen Barrow have all resigned as directors of the Company. Peter Krause and Sumedha Goenka, representatives of Blackstone, have been appointed as non-executive directors in their place.

Peter Krause is a Senior Managing Director in the Real Estate Group of Blackstone based in London. Mr. Krause currently focuses on Blackstone's investments in the logistics sector across Europe. Since joining Blackstone in 2011, Mr. Krause has been involved in a number of Blackstone's logistics investments in Europe, including Logicor, Mileway, St. Modwen Properties plc, and Hansteen Holdings plc.

Sumedha Goenka is a Managing Director in the Real Estate Group of Blackstone and is also based in London. Since joining Blackstone in 2013, Ms. Goenka has been involved in various investments in Europe including OfficeFirst, HI Partners and Mileway.

There are no disclosures to be made in accordance with UKLR 6.4.8 R of the UK Listing Rules in relation to the appointment of Mr. Krause and Ms. Goenka.
