Vistry Group PLC - Voting Rights and Capital

In conformity with the FCA's Disclosure and Transparency Rule 5.6.1R and as an update to the announcement made on 30 November 2023, please note Vistry Group PLC's capital consists of 346,867,534 Ordinary 50p shares with voting rights.

The change from 347,245,168 Ordinary 50p shares on 30 November 2023 is due to the buyback of 636,254 shares by Vistry Group PLC, of which 386,254 have been cancelled and 250,000 have been placed in Treasury. The Company has issued 8620 shares to satisfy the exercise of share options.

Vistry Group PLC holds 1,369,171 shares in Treasury. The change from the 1,500,000 shares in Treasury on 30 November 2023 is due to the purchase of 250,000 shares into Treasury and transfer of 380,829 shares to satisfy the exercise of share options.

Therefore, the total voting rights in Vistry Group PLC is 345,498,363. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Vistry Group PLC under the FCA's Disclosure and Transparency Rules.
