Total Voting Rights and Capital

In conformity with the FSA's Disclosure and Transparency Rule 5.6.1R and the European Transparency Directive, Volex plc confirms that at the date of this announcement it has an issued share capital of 66,184,721 Ordinary Shares of 25 pence each ("Ordinary Shares") and therefore the total number of Volex plc shares with voting rights is 66,184,721.

The above figure of 66,184,721 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Volex plc under the FCA's Disclosure and Transparency Rules.

In addition, the above figure includes 1,005,000 shares currently held in the Volex Joint Stock Ownership Plan and 630,000 shares currently held by the Volex Employee Share Trust, which are therefore excluded from the Company's Earnings Per Share ("EPS") calculation. Therefore, the total number of Volex plc shares used for EPS calculations is 64,549,721 shares.
