VECTURA GROUP PLC (''Vectura'')
Statement regarding the adjournment of the Court Meeting and the Vectura General Meeting
On 8 August 2021, Philip Morris International Inc. and PMI Global Services Inc. (together ''PMI'') announced an increased offer for Vectura of 165 pence per Vectura share (the ''PMI Offer''). PMI also announced on 9 August 2021 that the PMI Offer would be implemented by way of a Takeover Offer, rather than by way of the PMI Scheme (the "Switch").
The PMI Offer was deemed as PMI's final offer for Vectura at 5.00pm on 12 August 2021 (the ''Final PMI Offer''), under the Takeover Panel's auction rules announced on 9 August 2021.
On 16 August 2021, the Offer Document containing the Vectura Board's recommendation of the Final PMI Offer was published and posted to shareholders together with the Form of Acceptance.
The Vectura Board confirms that, as a result of the Switch, the Court Meeting and Vectura General Meeting convened in respect of the PMI Scheme were adjourned earlier today, in each case to a date and time to be determined by the directors of Vectura.
