Statement regarding TT Electronics Plc ("TT Electronics" or the "Company")

DBAY notes the announcement dated 30 October 2025 (the "Announcement") by Cicor Technologies Ltd ("Cicor") regarding the recommended cash and share acquisition of TT Electronics by Cicor (the "Acquisition"), pursuant to which TT Electronics shareholders would be entitled to receive for each TT Electronics share 100 pence in cash and 0.0028 new Cicor shares.

As at today's date, DBAY holds an interest in 29,387,928 ordinary shares of TT Electronics, representing approximately 16.5 per cent. of TT Electronics' issued ordinary share capital.

DBAY is happy with the progress the business is currently making, and is therefore not supportive of the Acquisition. Accordingly, DBAY does not intend to vote in favour of the scheme of arrangement at the court meeting, nor the resolutions to be proposed at TT Electronics' general meeting, as further described in the Announcement.
