Issue of Options
Exercise of Options and Total Voting Rights
Trakm8 Holdings plc (AIM: TRAK), the global telematics and data insight provider, announces that the Company has today granted 475,000 options ("Options") over ordinary shares of 1 pence each ("Ordinary Shares") to Jonathan Furber, Finance Director. The Options have an exercise price of 137.5 pence per Ordinary Share (being the mid-market closing price of an Ordinary Share on 24 November 2017) and are exercisable at any time between 27 November 2020 and 26 November 2027. Further information is set out in the PDMR disclosure table below.
In addition, the Company announces that it has today allotted 50,000 new Ordinary Shares following the exercise of share options by an employee.
Application will be made to the London Stock Exchange for the 50,000 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 1 December 2017.
After Admission, the issued share capital of the Company will be 35,773,254 Ordinary Share of which 29,000 are held in treasury. Therefore the total number of Ordinary Shares in the Company with voting rights on Admission will be 35,744,254. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
