Topps Tiles plc (the "Company")

Director/ PDMR Shareholding

The Company has been notified by the trustee of the Topps Tiles Plc Share Incentive Plan the Yorkshire Building Society (the "Trustees"), that on 14th June 2016 the following Directors acquired ordinary shares of 3.33 pence each in Topps Tiles Plc ("Ordinary Shares") under the Partnership Shares element of the Topps Tiles Plc Share Incentive Plan at a price of 1.41 pence per Ordinary Share. The transactions for the Partnership Shares took place on the London Stock Exchange.

Matthew Williams will now hold 1,459,298 Ordinary Shares representing 0.75% of the issued share capital of the Company. As a result the combined holding of Matthew Williams and Lucia Williams, spouse of Matthew Williams and a connected person, is 1,718,298 Ordinary Shares representing 0.88% of the issued share capital of the Company.

On the 21st June 2016 the Company was also notified that Rob Parker exercised an option granted pursuant to the Company's SAYE Share Scheme in relation to 8,372 Ordinary Shares at an option price of 43 pence and that Rob Parker had also transferred 50,000 Ordinary Shares to Danielle Parker, a connected person.

Rob Parker will now hold 160,155 Ordinary Shares representing 0.08% of the issued share capital of the Company. As a result the combined holding of Rob Parker and Danielle Parker, will be 312,895 Ordinary Shares representing 0.16% of the issued share capital of the Company.

The above notification is intended to satisfy the Company's obligations under Disclosure and Transparency Rule 3.1.4.
