Titon Holdings PLC18 May 2006 Titon Holdings Plc ("the Company") DIRECTORS SHAREHOLDING The Company was notified on 18 May 2006, that Mr. C Jarvis, a director of theCompany, sold 5,500 ordinary shares of 10p each in the Company ("OrdinaryShares") to Mr C Martin, also a director of the Company. The transaction pricewas 94 pence per Ordinary Share and occurred on 17 May 2006. Following this transaction, Mr Jarvis's and Mr Martin's respective beneficialinterests in the ordinary share capital of the Company were 61,000 and 50,500Ordinary Shares, representing 0.5 and 0.4 per cent. of the Company's issuedshare capital.
