OAO TMK19 December 2006 NOT FOR DISTRIBUTION IN THE UNITED STATES, CANADA, AUSTRALIA OR JAPAN 19 December, 2006 Shareholders of OAO Seversky Pipe Plant, OAO Sinarsky Pipe Plant and OAO Taganrog Metallurgical Works approve loan guarantees in favour of TMK Capital S.A. OAO TMK ("TMK") announces that shareholders of OAO Seversky Pipe Plant, OAOSinarsky Pipe Plant and OAO Taganrog Metallurgical Works have approved andsigned all of the agreements necessary to effect loan guarantees in favour ofTMK Capital S.A., a special purpose entity incorporated in Luxembourg. TMKCapital S.A. provided a US$300 million loan to OAO TMK out of the proceeds of athree-year US$300 million 8.5% Eurobond issued on 28 September 2006.
