Tinopolis PLC31 January 2007 31 January 2007 Tinopolis plc ("Tinopolis" or the "Company") Total Voting Rights Pursuant to transitional provision 6 of the Transparency Directive, Tinopolisplc's issued share capital consists of 99,450,222 ordinary shares of 2p each("Ordinary Shares"). This figure includes 1,156,091 Ordinary Shares allottedon 18 April 2006 which are being held on trust by the Company for thosedissentient shareholders who, in pursuance of the offer made by the Company on8 December 2005 to acquire the entire issued share capital of The TelevisionCorporation Plc (as then known), did not accept such offer, and whose whichshares in that company were compulsorily acquired by the Company pursuant tosections 428 to 430F Companies Act 1985. The Company holds 4,050,000 Ordinary Shares in treasury and the voting rights ofthese treasury shares are automatically suspended. Therefore the total numberof voting rights in the Company is 95,400,222. The above figure (95,400,222 Ordinary Shares) may be used by shareholders asthe denominator for the calculations by which they will determine if they arerequired to notify their interest in, or a change to their interest in,Tinopolis under the FSA's Disclosure and Transparency Rules.
