Turkiye Is Bankasi03 April 2006 Resolutions Made at the Annual General Meeting At Isbank's General Meeting held on 31 March 2006, the following issues havebeen resolved: 1. It is decided to authorize the Chairmanship council to sign Minutes of theGeneral Meeting. 2. The Board of Directors, Auditors and Independent Auditors' Report, theBalance Sheet and the Profit and Loss Account for the year 2005 have beenratified. 3. It is agreed that the Board of Directors and Auditors have been acquittedwith regards to transaction accounts in the year 2005. 4. Resolution was made to pay Isbank shareholders a total net amount of NTL276,636,212 dividend starting from 03.04.2006: - Gross NTL 0.2900 for each Group A shares with a nominal value of NTL 1- Net NTL 0.2615 for each Group A shares with a nominal value of NTL 1- Gross NTL 0.1750 for each Group B shares with a nominal value of NTL 1- Net NTL 0.1578 for each Group B shares with a nominal value of NTL 1- Gross NTL 0.1558 for each Group C shares with a nominal value of NTL 1- Net NTL 0.1405 for each Group C shares with a nominal value of NTL 1- Gross NTL 1,5984 for each of the founder shares- Net NTL 1,4410 for each of the founder shares. 5. NTL 5,000 of monthly payment has been designated to members of the Board ofDirectors. 6. Prof. Dr. Turkay Berksoy and H. Ahmet Ergenekon have been appointed asauditors for the year 2006. 7.
