Results of General Meeting
At the General Meeting of Terrace Hill Group PLC (the "Company") held on Thursday 2 August 2012, the resolution set out in the Notice of Meeting dated 13 July 2012 was passed by Shareholders on a show of hands. Proxies were received by the Company from Shareholders in advance of the General Meeting as follows:

As at the date of the meeting there were 211,971,299 ordinary shares of 2 pence each in issue. Proxies amounting to 150,128,825 votes were received.
It is envisaged that the approval by the Court of Session to effect the Capital Reduction will occur during September 2012.
