Update re Stefan Barden

System1 Group PLC (AIM: SYS1) announces that further to the announcement on 4th January 2022, Stefan Barden has today informed the System1 board of directors (the "Board") that he will be stepping down as an adviser to the Board with effect from 31st March 2022.

Stefan was an adviser to the Board for 3 years, then a director for 18 months as Covid hit (initially as COO, then CEO), before reverting to his role as an adviser to the Board from 31st January 2022.

Options over 46,995 Ordinary Shares are retained by Stefan Barden and 253,005 share options have been cancelled in accordance with the terms of the System1 Group PLC Non-Employee Plan. He already owns 791,645 Ordinary Shares representing 6.2% of the voting rights.

John Kearon, Founder and CEO, commented:

"On behalf of the Board, staff, investors and suppliers, past and present, I would like to thank Stefan for 5 years of remarkable service to the Company. I am extremely grateful for his many years of hard work and enormous contribution".

Stefan Barden commented:

"After 5 years at System1 supporting John and the team transition from agency to platform, I am comfortable that the time is right for me to dedicate more time to my other investments. I wish the team the very best and remain a supportive shareholder of the company."
