Block Admission
Shearwater Group plc, the cybersecurity, advisory and managed security services group, announces that it has today made application for the block admission (the "Block Admission") of up to a total of 475,000 new ordinary shares of 10 pence each in the Company ("Ordinary Shares") to be admitted to trading on AIM ("Admission"). It is expected that Admission will occur at 8.00 a.m. on 15 December 2025.
The Block Admission is being put in place in connection with the vesting of options to subscribe for new Ordinary Shares under the Group's Long Term Incentive Plan (the "LTIP Options"), as previously announced. The LTIP Options vested on 31 October 2025. The Block Admission has been made to enable the Group to efficiently handle future issues of new Ordinary Shares, which will when issued rank pari passu with the existing Ordinary Shares, from time to time pursuant to the exercise of LTIP/SAYE Options.
The total number of Ordinary Shares in the Company as at the date of this announcement is 23,826,379. There are currently no shares held in treasury. The total number of voting rights in the Company is therefore 23,826,379. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure Guidance and Transparency Rules.
The Company will notify on a monthly basis when there are changes to the issued share capital of the Company, and these monthly figures may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company. The Company will also make six-monthly announcements regarding the utilisation of the Block Admission.
