NOTIFICATION OF DIRECTOR/PDMR SHAREHOLDING

SMG plc LONG-TERM INCENTIVE PLAN ("LTIP")

The Company announces the release of conditional share awards granted on 6 June 2005 under the Company's LTIP to one of its Executive Directors and three Persons Discharging Managerial Responsibilities ("PDMRs") on 3 July 2008.

The Company achieved average annual ROCE growth of 12.19% over the three year performance period. Therefore, in accordance with the rules of the LTIP, 13.75% of the shares subject to the awards have been released.

Accordingly on 3 July 2008, the Executive Director and PDMRs listed below became the legal and beneficial owners of the following ordinary shares of 2.5p each in the Company at a price of 12.5 pence per share:
